Key Responsibilities:
  • Advise clients on evolving federal and state (MI) healthcare laws and regulations, including HIPAA, Stark Law, Anti-Kickback Statute, False Claims Act, Medicare/Medicaid billing and reimbursement rules, FDA Regulations, Michigan Public Health Code, and Michigan Mental Health Code.
  • Provide guidance on organizational structure, governance, and strategic initiatives for healthcare entities.
  • Counsel clients on healthcare structures and ownership, including corporate practice of medicine and PE investment in healthcare.
  • Evaluate risks in healthcare transactions and assist with negotiating and drafting agreements, including operating documents, management service contracts, professional employment arrangements, purchase and sale agreements, research agreements, and supply chain and IT agreements.
  • Support clients in mergers, acquisitions, divestitures, dissolutions, and affiliations across healthcare sectors, including preparing documents, assisting with due diligence and legal analysis, and client communications.
  • Deliver proactive, business-focused solutions to compliance challenges and regulatory inquiries.
  • Represent clients in civil, criminal and/or administrative investigations and proceedings.
  • Advise clients on taxation and exempt organization matters.

Skills and Abilities:
  • Strong knowledge of healthcare regulatory frameworks and compliance requirements.
  • Strong drafting and negotiation skills for complex agreements.
  • Excellent communication skills, both written and oral.
  • Ability to manage multiple projects and client relationships independently.
  • Sound judgment and problem-solving skills with a business-focused approach.

Education, Experience and/or Training:
  • Must be a graduate of an accredited law school.
  • 7+ years of experience.
  • Portable book of business.
  • Admitted to practice law in the State of Michigan.
