Job Summary:
Kutak Rock LLP's Denver office is seeking a corporate attorney for its Corporate Finance/Tax Credit Group. This dynamic role is ideal for an attorney with experience or interest in developing their knowledge and skills in debt, equity, real estate, and renewable energy and new markets tax credit financings while working closely with experienced partners. Knowledge of structured finance transactions is preferred but not a requirement.

Responsibilities:
  • Conduct due diligence and prepare diligence checklists and memoranda with respect to new markets (NMTC) and renewable energy (RETC) tax credit-advantaged transactions
  • Draft, review, comment and negotiate operating agreements, loan and security documents, leases, guarantees, resolutions, opinions, and certificates
  • Negotiate and structure complex financings, restructuring, workout and exit arrangements
  • If interested, assist senior tax attorney with researching new changes to the tax code, regulations and related guidance and draft memoranda addressing client issues
  • Attend conference calls and work directly with clients on transactional issues

Qualifications: Education and Experience
  • Juris Doctorate (J.D.) from an ABA accredited law school
  • Qualified candidates must be licensed, or have pending licensure, to practice law in a U.S. state. License must be in good standing
  • 2+ years' experience in practice of structured finance, tax credits, or real estate law preferred
  • LLM in taxation a plus, but not required

Position Information:
Status: Exempt
Salary Range: $175,000-$200,000+ Base salary, plus discretionary bonus, commensurate with education and experience.
Work Arrangement: Hybrid 3:2
