Cleary Gottlieb Steen & Hamilton LLP seeks an Associate (Senior-level) in New York, NY to conduct analyses regarding the appropriate structure for client transactions in light of client's legal rights and obligations, identify and develop appropriate strategies based on the interpretation of laws, rulings, and regulations, as well as the familiarity with Latin American developments, and recommend a particular course of action to clients in connection with such matters. Assist Partners in formulating legal strategy with respect to clients' transactions or ongoing operations based on research of the laws and regulations applicable to, and analysis of the facts corresponding to, such transactions or operations. Requires JD, LLM or foreign equivalent and four years of experience as an Associate or related occupation. Must include 4 years of experience in each of the following: Advising and representing corporate and sovereign clients in connection with U.S. and international corporate and financial transactions, including issuances of debt and equity securities, bilateral and syndicated loans, and compliance with reporting obligations in the United States; Supervising the different work streams in connection with corporate transactions and coordinating among client's advisors, including other law firms and auditors, to the timely closing of such deals; Supporting discussions to develop the legal structures that will enable clients to achieve their objectives in connection with financial transactions; Drafting, reviewing and negotiating contracts and other legal documents in connection with securities issuances, liability management exercises, and financings; and Drafting proposals and legal analyses in connection with potential financial transactions for corporate and sovereign clients. Must be admitted to practice law in the State of New York. The base salary for associate positions is $225,000 – $435,000/ year, depending upon class year.
