About the Opportunity:
Under the direction of the Senior Vice President, Chief Legal Officer and Corporate Secretary, the Associate General Counsel, Transactions provides strategic legal leadership for the Company's mergers and acquisitions, joint ventures, strategic partnerships, commercial contracting, and other complex business transactions. This role partners closely with executive leadership to structure transactions, negotiate agreements, manage legal risk, and support the Company's growth strategy.

Key Responsibilities:
Business Strategy and Stakeholder Engagement
  • Responsible for, and engages all Company stakeholders in, the Company's 6 Pillars of Success (Regulatory Compliance, Colleagues, Quality, Service, Growth, and Financial Responsibility).
  • Partners with Finance, Development, Operations, and executive leadership on strategic growth initiatives.
  • Advises executive leadership regarding relationships and transactions involving:
    • Hospitals
    • Health systems
    • Physicians
    • Long-term care providers
    • Managed care organizations
    • Vendors
    • Third-party payors

Transaction Leadership and Execution
  • Leads all mergers, acquisitions, divestitures, joint ventures, and other strategic transactions.
  • Manages legal due diligence and transaction execution from letter of intent through closing and post-close integration.
  • Structures transactions to appropriately balance legal, regulatory, operational, and financial risk.

Legal and Regulatory Compliance

  • Drafts, reviews, negotiates, and finalizes complex transaction documents and commercial agreements.
  • Supports organizational restructuring, affiliation agreements, and strategic partnerships.
  • Coordinates with Regulatory Counsel to ensure transactions satisfy applicable healthcare regulatory requirements.

Oversight and Collaboration

Oversees outside counsel supporting transactional matters.

Key Job Requirements and Preferences

Education:
Required: Possess a Juris Doctor degree from an accredited law school

Experience:
  • Required: at least 6-8 years of legal and professional healthcare experience.
  • Relevant experience, and demonstrated success, in a law firm and/or corporate setting; additional public

Licenses/Certifications:
Required: Requires admittance to a state bar.

Work Environment and Physical Requirements:
Physical Demands:
  • Prolonged periods of sitting, standing, and walking while working at a computer conducting meetings, or performing administrative duties.
  • Occasional lifting, carrying, pushing, or pulling of up to 20 pounds, including luggage, presentation materials, and office equipment.
  • Ability to navigate healthcare environments, including patient care settings, offices, and community locations, which may involve stair climbing, bending, reaching, and extended periods of walking.
  • Visual acuity sufficient for reviewing reports, analyzing data, and operating standard office technology.

Communication:
Effective communication skills in person, by telephone, and through virtual meeting platforms.
