Description:

Join the AI and Technology Law team at TIAA and help shape the technology, data, and third-party relationships behind TIAA's products and business initiatives.

Behind every digital product or technology initiative are important questions about how the technology works, how data can be used, and what each party needs from the relationship. This role helps TIAA answer those questions by combining strategic technology transactions work with counseling on the technology, data, and third-party arrangements that support our businesses.

We're looking for a lawyer who enjoys getting into the substance—understanding the technology, asking the questions that change the analysis, and translating business objectives into practical advice and well-structured agreements. You'll work alongside business counsel, our AI and emerging technology counsel, and other subject-matter experts, contributing technology and data expertise to products, commercial relationships, and strategic initiatives.

This role protects the organization's rights, obligations, and legal interests by providing legal direction and ensuring legal activities meet TIAA's current and future needs, with a focus on technology transactions and counseling.

Key Responsibilities and Duties:
  • Advise on the technology and data behind business initiatives. Help teams navigate the technology, data rights, and third-party dependencies involved in developing, offering, and using digital products and services, in partnership with business and specialist counsel.
  • Structure and negotiate strategic technology relationships. Handle a broad range of agreements involving SaaS, cloud services, software, data licensing and use, AI and emerging technologies, implementation, professional services, and other technology and commercial arrangements.
  • Connect technical realities to commercial outcomes. Understand how a solution works, how it will be used, and what matters to the business—and translate that understanding into deal structures and contractual terms that address risk, support operational needs, and preserve future options.
  • Work through complex questions with practical judgment. Advise on intellectual property, data use, technology dependencies, service commitments, and liability, collaborating with privacy, cybersecurity, AI, and other specialists to develop coordinated advice.
  • Bring technology expertise to strategic transactions. Support business and M&A lawyers on the technology and data aspects of acquisitions, investments, and other strategic transactions, including relevant third-party relationships and contractual arrangements.
  • Collaborate across the enterprise. Work closely with legal colleagues supporting strategic sourcing, as well as business, technology, sourcing, enterprise vendor management, risk, and compliance teams on technology procurement and broader commercial initiatives.
  • Make good counsel easier to deliver. Help develop playbooks, templates, and contracting processes that translate complex issues into usable guidance, including through thoughtful use of AI and legal technology.
