Reporting to the Deputy General Counsel of Technology, AI & Intellectual Property, this Associate General Counsel position will provide business counsel support to the Optum Technology organization, which develops and implements technology solutions throughout An American For-Profit Managed Health Care Company. This attorney will have the opportunity to support technology teams working on cutting edge health-technology with a focus on technology transactions, AI, digital health initiatives and cybersecurity operations. Successful candidates will have experience drafting and negotiating unique transactions, including complex contracts, development agreements, pilot programs, and other strategic initiatives. This position will participate in the product development and review process and coordinate closely with subject matter experts across the enterprise in such areas as privacy, intellectual property, litigation, and health law.

This Associate General Counsel will be required to provide excellent analytical, problem solving and decision-making skills and work collaboratively with business and legal teams across the organization. As a member of the corporate legal team, this attorney will be expected to work in a team-oriented, fast-paced, results-driven practice group.

Primary Responsibilities:
  • Serve as business counsel for the Optum Technology organization
  • Provide legal support for transactional matters, such as software licenses, cloud computing arrangements, collaboration and joint development agreements, supply agreements, equipment purchase and lease agreements, mobile app development agreements, offshore sourcing arrangements, and IT services agreements
  • Negotiate data licensing and use agreements, including with universities and academic medical centers
  • Provide legal support for new product development and data governance activities
  • Counsel business leadership on strategic technology initiatives
  • Draft and negotiate complex commercial agreements and related documents
  • Participate in and lead resolution of technology-related disputes
  • Support existing technology and AI legal team members with internal workflows, processes and procedures
  • Collaborate closely with colleagues across An American For-Profit Managed Health Care Company, including with Optum and UnitedHealthcare, Enterprise Procurement, the Enterprise Information Security group, and privacy teams
  • Provide training and support on legal issues and developments

Required Qualifications:
  • Juris Doctorate degree
  • 5+ years of transactional legal experience, preferably including the negotiation and drafting of technology contracts
  • Proven ability to manage, handle and prioritize multiple projects
  • Proven ability to effectively advocate/problem-solve as necessary to obtain desired outcomes and meet regulatory requirements
  • Proven ability to work collaboratively in a team setting with other attorneys and business staff of multiple levels; ability to work in a matrixed environment
  • Proven ability to identify issues and offer proactive, timely advice and follow through to resolution
  • Proven well-developed written and verbal communication skills
  • Proven poise and confidence necessary to deal with senior lawyers and business leaders
  • Proven excellent?presentation creation and delivery skills, including experience with PowerPoint, Excel, and other standard tools
  • Current admission to a U.S. state bar

Preferred Qualifications:
  • Direct experience with privacy, IP contracting and data licensing matters
  • Law firm and in-house experience
