About the role:We are seeking an experienced Associate General Counsel – Strategic Transactions to serve as the lead legal partner for our most significant and strategic corporate transaction initiatives. In this high-impact role, you will drive the legal execution of mergers & acquisitions, joint ventures, strategic partnerships, and other transformative deals.
The ideal candidate will combine first-class legal skills with strong business judgment, delivering practical, solutions-oriented advice in a dynamic, fast-paced environment.
Some of the key responsibilities you should expect are the following:
Strategic Transactions & M&A
- Lead legal support for mergers, acquisitions, divestitures, joint ventures, strategic alliances, and minority investments.
- Oversee all phases of transaction execution, including structuring, due diligence, negotiation, documentation, and integration.
- Support financing aspects of strategic transactions, including acquisition financing, debt facilities, and equity-linked components.
- Negotiate financing agreements and related documentation in collaboration with internal teams and outside counsel.
- Draft and negotiate key commercial agreements to support strategic initiatives.
- Ensure agreements align with the company's objectives and risk profile.
Partner with finance, tax, treasury, operations, investor relations, and compliance teams to ensure seamless deal execution. Manage outside counsel to deliver cost-effective, high-quality legal support.
About You:
- Juris Doctor (JD) from an accredited U.S. law school.
- Admission to the Florida Bar or another U.S. state bar (with eligibility to qualify as Authorized House Counsel in Florida).
- Minimum of 6 years of experience in M&A, strategic transactions, and complex commercial agreements, including at least 4 years at a major law firm.
- Prior in-house experience with a public company strongly preferred.
- Deep understanding of deal structuring, corporate governance, transaction-related financing, and cross-border transaction issues.
- Strong negotiation, drafting, and problem-solving skills.
- Ability to work independently, manage multiple high-priority projects, and thrive in a dynamic, fast-paced environment.
