Job Description Summary:
The Real World Data Associate General Counsel serves as the lead legal advisor on Real World Data (RWD), healthcare data monetization, privacy, and analytics initiatives. This role acts as a primary strategic partner across business, product, data science, and life sciences teams, ensuring complex healthcare data transactions and AI/ML deployments comply with legal, regulatory, and ethical standards while advancing commercial growth.
Your Role:
- Real World Data (RWD) & Data Licensing Strategy: Serve as the primary legal advisor for RWD initiatives, data acquisition, data monetization, and analytics partnerships. Counsel leaders on data governance, secondary data use, and health data commercialization strategies.
- Commercial Contracting & Data Transactions: Draft, review, and negotiate complex data agreements, including data use agreements (DUAs), life sciences/pharma licensing, data feed acquisition, AI training data rights, and strategic technology partnerships.
- Healthcare Regulatory, Privacy & De-Identification: Provide subject matter expertise on HIPAA de-identification standards (Safe Harbor & Expert Determination), state privacy laws (e.g., Washington My Health My Data), Common Rule, and FDA guidance on Real World Evidence (RWE).
- IP & Data Rights Protection: Advise on intellectual property matters involving data ownership, database rights, derivative insights, proprietary algorithms, open-source considerations, and AI model ownership.
- Cross-Functional Collaboration: Partner with Data Science, Engineering, Product Development, InfoSec, Compliance, and Life Sciences Sales to align business objectives with regulatory compliance and data security requirements.
- Risk Assessment & Mitigation: Assess risks associated with re-identification, data linkage, tokenization, and emerging AI/ML regulations, translating complex laws into actionable business guidance.
- Legal Operations & Playbooks: Develop and refine standardized data licensing playbooks, template DUAs, and contracting workflows to streamline RWD transaction cycles.
Skills & Requirements:
- Law Degree
- 7–10+ years of legal experience, with at least 4+ years specializing in healthcare data, Real World Data (RWD), or life sciences data transactions.
- Deep experience negotiating complex commercial transactions involving health data licensing, data supply feeds, and SaaS solutions.
- Demonstrated expertise in HIPAA compliance, de-identification methodologies (Safe Harbor & Expert Determination), and US health data privacy frameworks.
- Strong understanding of data ownership, IP rights in data derivative products, and clinical data governance.
Preferred:
- Experience with health data tokenization, dataset linking, and third-party data broker models.
- Expertise in legal frameworks surrounding AI/ML model training, clinical algorithms, and machine learning governance.
- In-house legal experience at a healthtech, EHR, healthcare analytics, or pharmaceutical enterprise.
