We are seeking an Associate General Counsel, M&A, reporting directly to the General Counsel. This role will provide legal advice and counsel to business teams throughout the organization on business acquisitions, business divestitures, joint ventures, financing transactions, debt compliance matters, equity investments, complex commercial agreements, and other strategic transactions. This role will also support the General Counsel in corporate governance matters and other tasks. Responsibilities:
- Support the growth of the company by working closely with the General Counsel to facilitate strategic transactions across the organization, including drafting transaction agreements, leading negotiations, and performing and supervising due diligence.
- Advise and collaborate with key leaders to help structure transactions, identify and mitigate contingent risks, and assist in crafting solutions to protect the company's interests.
- Provide recommendations and guidance for management teams and other internal clients.
- Demonstrate excellent analytical, consulting, drafting and negotiation skills with the ability to make well-reasoned legal and business judgments and clearly explain complex ideas.
- Support the Vice President, Treasurer and treasury team in select financing transactions and oversee debt covenant compliance.
- Support the Associate General Counsel, Commercial in designing, drafting and negotiating complex master service agreements, construction agreements, and other commercial agreements as assigned.
- Support the General Counsel in corporate governance tasks including entity structure, organization and management issues.
- Assist with special projects and perform other job-related duties as assigned by the General Counsel.
- Effectively manage outside counsel, as needed.
Qualifications:

- Licensed attorney holding a J.D. with a minimum of ten years of related experience.
- High-level analytical, communication, and interpersonal skills.
- Excellent attention to detail and strong project management and organizational skills.
- Demonstrated ability to work under pressure, manage a variety of projects simultaneously, meet aggressive deadlines and successfully handle urgent situations with patience and diplomacy.
- Confidence to exercise practical judgment on high-value issues without overly technical analysis
- An agile and flexible thinker, with the ability to learn areas of the law quickly.
- Ability to quickly learn our business and network and interact with the business team
- Ability to function independently and as part of a team.

- Ability to successfully lead process improvement initiatives around our approach to M&A and other strategic transactions that drive efficiencies impacting the legal team and the organization.

- Ability to work under pressure, prioritize, and manage workloads to meet deadlines in a challenging and fast-paced environment.

- Comfortable and adept at legal research tools (e.g., Practical Law).

- Ability to work full time in an office; physically able to sit/stand at a computer and work in front of a computer screen for significant portions of the workday.

Education/Experience:
- Licensed to practice law and in good standing in at least one U.S. state with an ability to apply for limited admission to the Utah Bar as House Counsel immediately after employment begins, if not already licensed in Utah
