Job Summary:
All States Management Group, Inc., a family-owned and rapidly growing road construction and roadway materials company, headquartered in West Springfield, Massachusetts and operating throughout New England and New York, is seeking full-time Associate General Counsel. This is an in-person position based at our headquarters, with a clear opportunity for promotion to General Counsel. The Associate General Counsel will work closely with the General Counsel, CFO, company executives, division leaders, and other business leaders, while also coordinating with local counsel across the company's various jurisdictions.

Key Responsibilities:
  • Provide legal support on a wide range of general corporate matters to company leadership.
  • Advise and assist with mergers and acquisitions, including due diligence and transaction documentation.
  • Manage and oversee real estate transactions, ensuring compliance with environmental considerations and regulations.
  • Review, negotiate, and draft bank credit agreements and related financial documents.
  • Counsel management on employment law matters and company policies.
  • Draft, review, and negotiate contracts with vendors, customers, and other third parties.
  • Collaborate closely with the General Counsel, CFO, Company Executives, Division and Company Leaders, as well as other business leaders to support company operations and growth.
  • Ensure compliance with federal, state, and local laws relevant to the company's operations.

Minimum Qualifications:
  • 10+ years of general corporate law experience, either in a law firm or in-house.
  • Broad knowledge of:
  • Mergers and acquisitions
  • Real estate transactions, including environmental considerations
  • Bank credit agreements
  • Employment law matters
  • Contract negotiation and drafting
  • Other business law matters relevant to a growing construction and materials company
  • Ability to work closely with, and provide support to, the General Counsel, CFO, and other business leaders.
  • Admission to (or ability to become admitted to) the Bar of the Commonwealth of Massachusetts.
  • Comfortable collaborating with and managing local counsel in multiple jurisdictions.
  • Strong business acumen, communication, and problem-solving skills.
