Job Summary:
The Associate General Counsel will be responsible for working with the Tenaska Energy, Inc. (“Tenaska”) General Counsel to satisfy the legal needs of the Tenaska family of companies. The candidate's areas of primary responsibility will be serving the needs of Tenaska's corporate function and its Tenaska Generation and Tenaska Development business units. The Tenaska corporate function includes corporate finance, corporate compliance and corporate governance activities, along with Human Resources Capability, Information Technology, Capital Deployment and other centralized corporate functions. The Tenaska Generation business unit includes Tenaska's fleet of power plants and entails operations-related legal issues, power offtake agreements, and administration of Tenaska's partnerships with unaffiliated entities. The Tenaska Development business unit is engaged in developing new generation and other energy facilities throughout North America, including real estate acquisition, permitting, equipment acquisition, joint venturing or partnership with equity investors, power offtake agreements, and debt financing of projects, typically in project financings without recourse to the parent company balance sheet.

Essential Job Functions:
Tenaska Energy, Inc.
  • Provide legal advice and assistance with project development activities including acquisition of real estate, permitting of projects and contracting with customers, equipment suppliers and service providers.
  • Structure, negotiate and document equity investment arrangements with capital provider entities, including partnerships and joint venture arrangements.
  • Assist with capital deployment activities or asset divestiture activities including structuring, negotiation and execution of purchase and sale agreements and associated regulatory approvals where required.
  • Assist in negotiating and drafting contracts necessary for Tenaska's operating power plant business, including energy and capacity sale agreements, financial hedges, insurance contracts and operations and maintenance agreements.
  • Assist in negotiating with equipment providers and insurers regarding plant outages and manage dispute with equipment providers, operations and maintenance service providers, and insurers regarding unscheduled plant outages.
  • Assist with other legal requirements associated with general corporate law practice including corporate governance, regulatory and legal compliance initiatives, human resources, credit and finance.

Basic Requirements:
  • Juris Doctorate required
  • 7+ years legal experience required
  • Energy industry experience preferred
  • Strong written and verbal communication skills
  • Strong listening skills
  • Ability to work as a member of a team along with having his/her own responsibilities
  • History of working in a fast-paced environment with constant change and strict deadlines
  • Proactive approach toward identifying and solving problems
  • High personal standards for performance and integrity
  • Detail-oriented, analytical mindset and questioning attitude.
