We are currently in search of an Associate General Counsel to join our Legal & Regulatory team! Reporting to the Chief Legal Officer, the Associate General Counsel is a key member of the Global Legal Department, responsible for providing high-quality legal counsel and guidance on a broad range of matters across Feed the Children's global operations. This role helps ensure compliance with nonprofit legal and regulatory frameworks, supports governance matters, and provides legal guidance on contracts, litigation, data privacy, employment and labor laws, investigations, and other topics related to our work.

Note: The ideal candidate for this position will work from our corporate office in Oklahoma City, OK, however qualified remote candidates residing in Texas, the East Coast or the DMV area (District of Columbia, Maryland, and Virginia) will be considered.

Salary range: $150k-$175K (commensurate with experience)

Job Requirements:
Education:
Juris Doctor (J.D.) degree from an accredited law school required

Experience:
  • 5+ years of relevant legal experience working for or with nonprofit or mission-driven organizations required.
  • International experience, ideally in Africa, Central America, and/or Asia required.
  • Proven experience and familiarity with legal and regulatory requirements relevant to the operations of a 501(c)(3) organization required.
  • Experience in employment and commercial litigation and investigations required, ideally a mix of law firm and in‑house experience.
  • Strong knowledge of commercial matters, contracts, employment law, and data privacy.
  • Experience with donor and grant agreements and commercial co-venture agreements strongly preferred.
  • Demonstrated ability to train and influence stakeholders at all levels of leadership.
  • Proven ability to work both independently and as part of a cross-functional team required.
  • Excellent written and verbal communication skills required.
  • Excellent analytical and problem-solving skills to identify legal issues and risks, analyze complex problems, and provide practical and effective solutions required.
  • Highly organized, detail-oriented, and able to manage multiple projects simultaneously, while working under tight deadlines.
  • Familiarity with AI‑driven legal tools, including document summarization or intake automation preferred
  • Strong proficiency in Microsoft Office (Word, Excel, PowerPoint, Outlook) required. Advanced skills preferred.

Essential Functions:
Legal Guidance
  • Provide strategic advice on a wide range of legal and regulatory requirements relevant to the operations of a 501(c)(3) organization, including governance, contracts, litigation, data privacy, employment and labor laws, internal investigations, and other topics related to our work.
  • Support fundraising efforts by advising on legal aspects of fundraising campaigns, donor agreements, sponsorships, charitable fundraising, CCVs and general regulatory compliance.
  • Ensure compliance with state charitable solicitation and registration laws.
  • Collaborate with internal stakeholders to update, develop and implement policies and procedures that align with Feed the Children's goals and legal requirements.
  • Independently draft and review legal agreements, documents, filings, and reports.
  • Help to monitor regulatory changes and industry developments and trends.
  • Develop and deliver training sessions and materials to educate staff on relevant legal and compliance issues.

Governance, Regulatory, & Policies
  • Assist the Chief Legal Officer in advising on matters related to corporate governance matters, ensuring compliance with bylaws and applicable laws and regulations, and supporting executive leadership and the Board of Directors.
  • Ensure compliance with state charitable solicitation and entity registration laws and requirements.
  • Provide guidance on nonprofit tax issues, including tax-exempt status, charitable contributions, lobbying and general compliance with IRS regulations.
  • Advise on governance risks and restructuring when necessary.

Litigation and Investigation Support
  • Oversee litigation and threatened demands globally; develop litigation support framework; manage relationships with external counsel; work in collaboration with International Offices to advise on legal strategy for designated cases on a monthly basis.
  • Manage litigation holds, discovery, document production, and other litigation-related tasks, including handling threatened disputes and inquiries.
  • Collaborate with other members of the Global Legal Department to maintain and regularly update the Litigation/ Legal Liabilities Tracker.
  • Work with other members of the team to conduct training on litigation and dispute management 101.
  • Conduct and/or advise on internal investigations and strategy.

Contract Review and Management
  • Independently draft, review, and negotiate various types of commercial and complex agreements (donor, technology and IT-related, cause marketing agreements, IP licensing agreements, vendor and independent contractor agreements, NDAs, leases etc.).
  • Support fundraising efforts by advising on legal aspects of fundraising campaigns, donor agreements, sponsorships, charitable fundraising, CCVs and general regulatory compliance.
  • Lead efforts in the development, implementation, and refinement of forms and processes related to contracts.
  • Provide business-friendly guidance and risk assessments on contractual terms.

Compliance Monitoring & Risk
  • Develop and lead quarterly governance compliance reviews for domestic operations using a governance compliance checklist.
  • Identify and mitigate legal risks through proactive strategies and policy and procedure development.
  • Independently assess risk areas including legal risk, institutional risk, compliance risk, and reputational risk and effectively strategize with critical stakeholders in order to mitigate and minimize exposure.
  • Intellectual Property
  • Oversee outside counsel and legal vendors in trademark registrations and implementing trademark watches across the globe.
  • Protect and enforce the organization's brands and intellectual property; provide advice on brand related matters.

Capacity Building & Training
  • Prepare and deliver legal training for staff.
  • Develop and deliver onboarding modules for new hires to understand legal and compliance expectations.
  • Support Country Offices in aligning policies to meet compliance standards.

Policy Management & Standardization
  • Partner with cross-functional teams to develop and maintain proper powers of attorney/ delegations of authority and policy templates.

Employment & Labor Law
  • Work closely with Human Resources ensure ongoing compliance with employment and labor laws and internal policies and procedures.
  • Advise on sensitive personnel matters and critical employment decisions.
  • Draft and/or review employment agreements, policies, handbooks, and other employee-related agreements.
  • Collaborate with international colleagues to develop global approach to key HR policies.

Data Privacy & Security
  • Advise on and ensure compliance with data privacy laws and data security measures and recommendations.
