The Role:A Software Development Company is looking for an experienced attorney to join its growing team. The Associate General Counsel will take the lead in addressing a range of commercial, corporate and regulatory matters impacting a fast growing private company.
Key Responsibilities:
- Draft, review and negotiate a variety of commercial agreements, including SaaS contracts, licensing agreements, marketing agreements, and complicated vendor agreements
- Help protect and manage the company's intellectual property rights
- Assist with managing legal disputes or claims, including liaising with external counsel when necessary
- Assist with corporate governance matters
- Play a key role in advising on and implementing controls, policies and processes
- Identify legal risks and provide proactive advice and solutions
- Handle other matters as assigned by the General Counsel

These are the core competencies this role calls for:
- 5+ years of relevant legal experience
- J.D. from highly reputable law school and admitted to at least one state bar
- Top-tier law firm experience is preferred
- Excellent oral and written communication skills
- Proactive and able to function effectively in environment of rapidly changing demands
- Highly intelligent problem-solver, with the ability to work in a fast-paced, innovative environment and at all levels of the organization
