About the Team:Medidata seeks an Associate General Counsel for our collaborative, business-focused Legal team. The role requires a practical lawyer who communicates well, is comfortable managing legal and business risk in complicated transactions and other initiatives, and has demonstrated experience managing and developing people. The Associate General Counsel will drive the development of key partnerships, lead the negotiation of complex commercial agreements (including agreements with some of our largest customers), and provide legal support for strategic projects with critical impact on Medidata's global business and enterprise risk. This role also carries people management responsibility, including oversight and mentorship of team members.
Responsibilities:
- Independently lead legal drafting, review and negotiation related to key strategic and commercial agreements, balancing legal risks and business needs.
- Directly manage, mentor, and develop members of the Legal team, including overseeing workload distribution, performance, and professional growth.
- Act as primary legal support for a varied set of strategic initiatives, including implementation of AI tools within Medidata's commercial-legal team, new revenue models, as well as high-priority vendor agreements, alliances, and collaborations.
- Establish and implement legal team processes and best practices related to knowledge management, contract templates, compliance with regulatory updates and internal escalations.
- Advise on legal issues related to new product offerings, and offer practical advice on how best to incorporate these products into Medidata's existing legal and contractual framework.
- Counsel internal clients on various matters related to legal risk and risk mitigation.
Qualifications:
- Demonstrated ability to identify, structure, and lead novel strategic partnerships that advance business objectives.
- Independently lead legal negotiations of key customer agreements working directly with senior sales leadership.
- Experience coordinating cross-functionally with other internal teams, including Finance, R&D, and Procurement.
- Strong written and oral communication skills, more emphasis on the ability to clearly explain legal concepts and issues to non-lawyers.
- Sound judgment in assessing legal and business risk, with the ability to recognize when an issue warrants escalation to senior stakeholders
- Ability to manage and mentor team members while simultaneously serving independently as primary legal support on internal and strategic partnership initiatives.
- Minimum 12 years of legal experience, preferably with a combination of law firm and in-house experience. Prior in-house experience is a requirement.
- Prior experience managing and developing direct reports, with demonstrated people leadership ability.
- Experience with complex technology transactions, particularly related to SaaS products. Health care and data privacy law experience is a plus.
- Juris Doctor degree from an accredited law school.
- Member in good standing of the New York State Bar or registered as in-house counsel according to Part 522 of the Rules of the New York State Court of Appeals.
