General Description: As a key member of Tire Discounter's (TD) Legal team, the Associate General Counsel will play a vital role in risk management for the company. The Associate Counsel will be responsible for supporting all legal functions, including:
- Contract negotiation and management.
- Management of litigation and outside counsel.
- Preparation of definitive transaction agreements for M&A;
- Management of M&A closings.
- Real estate transaction negotiation; and
- General risk management.
Essential Functions:
- Assist General Counsel with:
- management and administration of commercial contracts, including:
- administration of TD's vendor engagement and contract review policies
- promotion of TD's standard terms and conditions
- review and negotiation of vendor agreements
- manage contracts in electronic document management system (DMS)
- management of legal matters related to broad real estate portfolio.
- management of certain litigation and pre-litigation matters (e.g., pleading review, discovery coordination, etc.).
- management of risk management matters, generally.
- management of legal component of finance matters.
- management and tracking of certain Company legal matters, generally, including management of outside counsel (e.g., coordination of work, review of bills, etc.)
- assist in administration of TD policies and management of compliance matters, including those related to HR/benefits, litigation hold, operations/regulatory requirements, coupons/promotions/contests/sweepstakes, etc.
- assist in the development of and management of a data privacy and compliance program
- management of workers compensation matters.
- management of intellectual property matters (e.g., filing for trademarks, vetting marketing materials for infringement, etc.).

Education and Work Experience:
- A BS/BA degree from an accredited college/university and a JD degree from an accredited law school.
- A minimum of 1 year of legal experience.
- Licensed to practice law in the State of Ohio.
Physical Demands:
- Low physical effort required to sit, stand at files, bend, stoop, lift, and walk.
- Maximum unassisted lift is 35 lbs. Average lift is less than 10 lbs.
- Requires ability to use a keyboard and monitor.
- Also requires the ability to communicate verbally, both in person and on the telephone.
