Background/IRC Summary:
IRC's Office of General Counsel, reporting to the President and CEO, provides legal advice and guidance to IRC management and the Board of Directors on a wide range of matters affecting the IRC and its affiliated entities, including employment issues, governance, contracting, requests for information, policy formulation and internal compliance, and compliance with applicable laws and regulations. OGC is also responsible for overseeing domestic and international litigation and managing relationships with outside counsel.

Job Overview/Summary:
The Associate General Counsel is a full-time position, based in New York with hybrid in-person and remote work, which will work with the General Counsel and other staff within the General Counsel's Office providing legal advice on matters pertaining to the organization's operational departments such as People & Culture, international humanitarian and development programs, domestic refugee resettlement offices and headquarters functions. They will assist with intra-organizational legal issues, including internal practices and human resources, compliance, procurement activities, state and country registrations, regulatory and private donor compliance, and contract review and drafting.

Primary Responsibilities of this Role:
  • Provide expertise and advice in areas relating to employee benefits and employment law at all stages of the employment life cycle from recruiting to separation, including organizational compliance with ERISA-qualified plans.
  • Provide legal support with labor negotiations and develop, implement and administer collective bargaining agreements.
  • Work with external counsel and internal clients in responding to litigation and regulatory inquiries, including employment related litigation.
  • Draft, review, and negotiate legal contracts and documents as needed, including but not limited to, service, licensing, non-disclosure, fundraising, consultant, procurement, data sharing and other commercial contracts, terms and conditions, memoranda of understanding, and other business arrangements in a timely, efficient and client-centered manner.
  • Assist in maintaining organizational governance policies and procedures, as well as legal compliance reviews of grant and other funding materials.
  • Provide continued support to internal IRC departments, including People & Culture; Crisis Response, Recovery & Development; Resettlement, Asylum, and Integration; Finance; Private Fundraising/Global Partnerships and Philanthropy; Global Supply Chain; and directly to the program offices.
  • Conduct background information and legal research as appropriate.
  • Develop and deliver training on legal and regulatory compliance matters.
  • Occasional domestic and international travel as needed for work.
  • Perform other job-related duties, research various issues and undertake special projects as assigned by the General Counsel or Deputy General Counsels.

Job Requirements:
  • Graduate of an accredited law school and admitted to practice and in good standing with New York State.
  • 4-7 years of legal practice required, including US law firm, in-house, or comparable experience.
  • Background in employee benefits and/or traditional labor law strongly preferred.
  • Experience with labor negotiations and administration of collective bargaining agreements.
  • Excellent contract drafting and negotiating skills.
  • Expertise in legal research and excellent writing skills.
  • Excellent interpersonal skills: communicating and collaborating effectively with colleagues and third parties in an international, multi-cultural environment.
  • Solid organizational skills: should be able to plan efficiently for and manage multiple projects and a wide-ranging workload, delivering timely advice in a fast-paced environment.
  • Experience working with exempt organizations strongly preferred.
  • Knowledge of Microsoft Office, Outlook, Teams and related software.

Compensation: (Pay Range: $135,000-$150,000) Posted pay ranges apply to US-based candidates. Ranges are based on various factors including the labor market, job type, internal equity, and budget.
