Position Overview:
Accrete seeks a well-rounded senior corporate generalist with strong technology transactions experience and the capacity to take on increasing responsibility as the Company grows. The role is designed for an attorney who is ready to broaden their skill set across all areas of an in-house legal function and to assume greater leadership over time.
Key Responsibilities:
The Associate General Counsel will serve as a key advisor across the Company, combining strong transactional skills with sound judgment and business alignment. The role will at first focus on technology and commercial transactions, expanding quickly into broader responsibilities drawn from among governance, compliance, employment, IP, product support, and risk management. The AGC will partner directly with senior leadership while also working independently as the lead lawyer most of the time.
Core Responsibilities include:
- Drafting, reviewing, and negotiating SaaS, licensing, data‑use, partnership, and services agreements with private‑sector and government customers, partners, and vendors.
- Developing and refining contract templates, playbooks, and scalable contracting workflows.
- Supporting corporate governance, including corporate housekeeping, board and stockholder materials, and subsidiary management.
- Assisting with equity and debt financings, including drafting, diligence, and coordination with outside counsel.
- Contributing to the Company's compliance and regulatory program, including policy development and application of relevant laws and standards.
- Supporting government‑contract obligations, including OTAs, security requirements, and related compliance processes.
- Advising on employment matters, including policies, investigations, performance management, and separations, and drafting related agreements.
- Partnering with HR to support consistent, well‑documented, and legally sound decision‑making.
- Supporting IP matters, including confidentiality, licensing, and branding.
- Working with engineering and product teams on data rights, product releases, and responsible‑AI considerations.
- Identifying, assessing, and mitigating legal and operational risks across the business.
- Managing outside counsel for specialized matters.
Qualifications:
Required:
- J.D. from an accredited U.S. law school, with a demonstrated record of academic achievement.
- Admission to practice in at least one U.S. jurisdiction.
- Seven or more years of experience practicing law.
- Strong law-firm training as a corporate generalist or technology transactions lawyer.
- At least two years of experience as an in-house lawyer.
- Significant experience drafting and negotiating complex commercial technology transactions.
- Experience in two or more of the following: IP, employment, privacy, regulatory compliance, government contracts, or artificial intelligence.
- Excellent judgment, strong drafting skills, and the ability to manage a high volume of varied work independently.
- Ability to learn new legal disciplines quickly.
- Maturity and stakeholder-management skills appropriate for a scaling organization.
Preferred:
- Experience in IP, employment, privacy, regulatory compliance, government contracts, or artificial intelligence (additional areas beyond those required).
- In-house experience at an early- to mid-stage growth company or a technology company.
- Proficiency with Google Workspace, Slack, Carta, DocuSign, Jira, Confluence, and/or law-focused AI tools.
