Job Title: ASSOCIATE GENERAL COUNSEL - CORPORATE, TECHNOLOGY AND GOVERNANCE

Job Summary:
Reporting to the General Counsel, the Associate General Counsel (AGC) for Corporate, Technology & Governance will provide strategic legal advice on a broad range of domestic and international corporate, finance, technology, cyber, privacy, intellectual property, marketing, and governance matters.
The AGC will lead the drafting, review, and negotiation of complex global corporate transactions and contracts; support digital, finance, data, and technology initiatives; strengthen governance frameworks; and advise on global regulatory compliance.
The role partners closely with teams worldwide to manage legal risk, support innovation, and advance CARE's mission. This hybrid role is based in Atlanta (preferred) or Washington, DC, with 10-15% travel.
Responsibilities:
Legal Counsel on Corporate, Technology, Cyber & Privacy Matters
- Serve as principal legal counsel on corporate governance, technology transactions, cybersecurity, data privacy, digital platforms, and information security.
- Provide legal guidance on technology procurement, SaaS agreements, data-sharing arrangements, digital innovation, AI governance, cyber incident response, and global privacy compliance.
- Draft, review, and negotiate complex technology, data, licensing, and digital-services agreements supporting CARE's global operations.
- Ensure CARE's digital transformation efforts align with international regulatory requirements and best practices.
General Legal Support on International, Governance & Organizational Matters
- Advise executive, regional, and country management on legal and compliance issues affecting CARE's global operations.
- Provide counsel on corporate structure, international regulatory compliance, cross-border transactions, governance frameworks, risk management, tax considerations, intellectual property, investigations, and contract drafting and negotiation.
- Lead the drafting, review, and negotiation of global corporate transactions, strategic partnerships, MOUs, joint initiatives, and other cross-border agreements.
- Support Board governance processes, policy development, and organizational compliance systems. May supervise direct reports.
Strengthen Global Governance & Organizational Compliance
- Support CARE's governance structures by assisting with Board and committee processes, reviewing governance policies, advising on bylaws and delegations of authority, and ensuring alignment with global best practices.
- Contribute to enterprise risk management, compliance frameworks, and internal controls.

Required Qualifications:
- Juris Doctor from an accredited U.S. law school.
- Current good standing to practice law.
- 8-10 years of professional experience as in-house counsel and/or law firm counsel handling corporate, technology, privacy, cybersecurity, governance, or related legal areas.
- Exceptional written and verbal communication skills, including demonstrated excellence in drafting complex agreements and legal documents.
- Excellent analytical and problem-solving skills.
- Fluency in English.
- Demonstrated experience advising on corporate, technology, cyber, privacy and governance matters.
- Proven ability to draft, review, and negotiate complex global contracts and corporate transactions.
- Strong leadership and management skills, with the ability to guide, influence, and collaborate across diverse teams and geographies.
- Ability to manage complex, cross-functional projects in a fast-paced environment.
- Strong business acumen and judgment.
- Superb verbal and written communication and negotiation skills.
- Ability to work collaboratively with internal and external stakeholders.
