An Insurance Company is hiring a seasoned transactional attorney to offer legal counsel on mergers and acquisitions, financial investments, joint ventures, and other corporate transactions. This position reports directly to the VP of Legal Services and involves collaboration with leaders across the organization. We are seeking a team-oriented attorney who excels in a fast-paced environment. While experience in healthcare transactions and managed care is strongly preferred, it is not required.

To be considered for this opportunity you have:
Experience
: A minimum of eight years of legal experience in corporate transactional matters, ideally within the healthcare sector or representing a health insurer. In-house experience is preferred. Relevant law firm experience will be considered.

Education: Juris Doctor (JD) degree from an accredited law school.

Certifications/Licenses: Active membership in good standing with the Idaho State Bar or ability to acquire such status within one year of hire

In this role, we will ask you to:
Advise the company and senior leadership on a wide range of transactional matters, including:
  • Mergers and Acquisitions: Lead legal due diligence, draft and negotiate transaction documents, and provide strategic advice on deal structure and integration.
  • Financial Investments: Advise on equity and debt investments, including venture capital and private equity transactions, and negotiate investment agreements.
  • Joint Ventures: Structure and negotiate joint venture agreements, ensuring alignment with the company's strategic goals and regulatory compliance.
  • Other Corporate Transactions: Provide legal support for various corporate transactions, including restructurings, recapitalizations, and strategic partnerships.
  • Oversee outside counsel during the transactional process, acting as the primary internal contact for business leads.
  • Ensure proposed transactions comply with local, state, and federal laws and regulations, current legal precedents, and company policies.
  • Support the corporate development team in evaluating strategic alternatives and opportunities.
  • Perform additional duties and responsibilities as assigned.
