We're looking for a Commercial & Nasdaq Fund Secondaries Counsel to join Nasdaq's award-winning legal team. In this role, you'll negotiate complex commercial agreements, advise on broker-dealer regulation, and provide strategic legal counsel supporting our global fund secondaries and Corporate Solutions business.

Key Responsibilities:
  • Draft and negotiate complex commercial agreements, including technology contracts and fund-related transactions.
  • Partner with business leaders across regions to structure transactions, manage legal risk, and support product innovation.
  • Collaborate with compliance, product, and commercial teams to deliver integrated legal solutions.
  • Advise internal stakeholders on broker-dealer regulatory requirements and compliance matters.
  • Provide strategic guidance on securities law matters impacting Nasdaq's fund secondaries platform and commercial operations.

Required Qualifications:
  • JD degree from a top-tier law school and active bar membership.
  • At least 7 years of experience at a major law firm; additional in-house experience is a plus.
  • Proven ability to negotiate and close complex transactional agreements, including technology contracts.
  • Strong knowledge of broker-dealer regulation, compliance frameworks, and securities law.
  • Clear communicator with experience in collaborative, fast-paced, global environments.

Preferred Qualifications:
  • Experience with the Investment Company Act of 1940 and the Investment Advisers Act of 1940.
  • Familiarity with investment funds and asset management regulatory frameworks.
  • Prior work with fintech, capital markets, or fund secondaries platforms.

This position will be located in Philadelphia or Washington, D.C. and offers the opportunity for a hybrid work environment at least 3 days a week in-office, subject to change, providing flexibility and accessibility for qualified candidates.
