The The Associate General Counsel is a key member of the Five Guys legal team, providing practical, timely, and strategic legal support across commercial contracting, corporate governance, and global data privacy. This role supports Five Guys' corporate headquarters in Alexandria, Virginia, and partners closely with teams across supply chain, bakery, development, HR, marketing, and accounting.
The attorney in this role will manage a broad portfolio of legal matters, with primary responsibility for commercial contract negotiation, corporate governance oversight, and enterprise-wide privacy and data protection compliance.

Essential Duties & Responsibilities:
  • Structure, draft, review, and negotiate commercial contracts, including vendor agreements, bakery agreements, supply chain/distribution contracts, licensing agreements, food delivery agreements, and other corporate and restaurant vendor contracts.
  • Lead all corporate governance activities, including drafting board minutes, board and shareholder resolutions, stock redemption agreements, stock option elections, and maintaining the corporate ledger.
  • Advise on global privacy and data protection laws; oversee legal and regulatory aspects of data collection, data use, privacy disclosures, transparency, and data security compliance.
  • Partner with Operations and Human Resources on retail-related legal matters, including incidents, insurance claims, and labor-related issues.
  • Support the Legal Department in managing external counsel budgets, reviewing monthly invoices, forecasting expenses, and maintaining monthly expense reporting.

Qualifications:
Education & Experience:
  • Juris Doctor (J.D.) from a top-tier law school.
  • Minimum 6 years of relevant legal experience; a combination of in‑house and law firm experience preferred.
  • General knowledge of public company reporting and related matters preferred.

  • Excellent written and verbal communication skills.
  • Ability to read, draft, analyze, and interpret complex legal documents and business communications.

  • Exceptional proficiency with Microsoft Office and related business software.
  • Special Requirements / Certification
  • Member in good standing with the governing board that issued the candidate's legal license.
