Primary Purpose of Position:
The Associate General Counsel – Corporate Governance (AGC) will supervise Exelon's Office of Corporate Governance team and will serve as a management-level expert counsel on corporate governance and securities laws and regulations. The AGC will have responsibility for executing corporate secretary's office functions for the Exelon Board of Directors and for the Company's operating company boards and for corporate governance matters company-wide. The AGC will also support business units across the company in all areas of corporate governance and securities law, including with regard to securities filings and compliance, proactive risk mitigation and assessment of forthcoming regulations, enforcement trends and related matters. The AGC will report to the company's Deputy General Counsel with responsibility for oversight of Corporate Governance.

Primary Duties and Accountabilities
  • Leads Exelon's Office of Corporate Governance team of attorneys and legal professionals, including development and implementation of team strategy, personnel management, direction of team activities and division of responsibility, and oversight of team members' professional development;
  • Leads the execution of corporate secretary's office functions for the Exelon Board of Directors and the Company's operating company boards and related matters;
  • Provides counsel and guidance to business unit clients and officers and executives of the company regarding all aspects of corporate governance, securities law and regulations, and related issues;
  • Works with the Exelon legal function to continually improve the delivery of legal services in the corporate governance practice area, including development and implementation of management procedures, technologies and practices;
  • Manages and oversees the Office of Corporate Governance's contracts with outside vendors and related budgets and oversees outside counsel for all matters requiring outside counsel support, including preparing, revising and managing budgets;
  • Performs significant projects and other duties as assigned by the Chief Legal Officer or Deputy General Counsel.

Qualifications:
Minimum Qualifications:
  • An LLB or JD from an accredited law school.
  • Admitted to practice law in a relevant jurisdiction.
  • At least 12 years of corporate governance and securities law experience.
  • Demonstrated ability to lead a diverse team of attorneys and legal professionals.
  • Excellent oral and written communication and advocacy skills and superior legal judgment in the business context.
  • Excellent organizational and project management skills, strong work ethic and the ability to independently and efficiently manage a broad portfolio of work, including under challenging deadlines.

Preferred Qualifications:
  • Experience representing large cap, public companies with regard to securities filings and compliance, either as in-house counsel or outside counsel.
  • Experience in managing outside counsel and vendors, including strategic and tactical guidance, matter and contract management, and budgeting.
  • Business training and literacy, including accounting, finance, and related areas.
  • Expertise in executive compensation and benefits issues, as relevant to securities and governance issues.
