Reporting to the Director, R&D Counsel, the Associate Director, R&D Counsel will serve as a key member of the Legal team and will work across a broad range of business functions supporting contracting needs, including finance, clinical operations, quality, research, and development.  The Associate Director, R&D Counsel should be a collaborative team player willing to work on a wide variety of projects with a willingness to roll up their sleeves with the ability to be strategic as well as tactical depending on business needs. This role offers an opportunity to grow as the company grows as part of a collaborative and skilled team.

This role is based in our Waltham, MA headquarters. Our office-based employees are required to work in the office three (3) days a week.

Responsibilities (including, but not limited to):
  • Be part of team responsible for general contracting and contracts administration for the company and work department-wide to effectively and timely manage contracting
  • Prepare, review, negotiate, and manage the execution of a broad array of agreements, including but not limited to confidentiality agreements, master service agreements and related statements of work, clinical trial agreements, data privacy agreements, quality agreements, and consulting agreements
  • Partner with the Clinical Operations team to provide legal and contractual support for global clinical studies, including participating in internal and external meetings, reviewing and advising on informed consent forms, and coordinating legal input for clinical study start-up activities, ensuring alignment with global requirements and timelines
  • Partner cross-functionally to develop and implement best practices, templates, and processes that enhance contracting efficiency and compliance
  • Deliver additional legal support as needed to advance organizational priorities and initiatives

Qualifications:
  • Juris Doctor from a national law school and strong academic credentials is required
  • Admission to and in good standing with the bar of at least one state
  • A minimum of 5 years of legal experience required, including meaningful experience drafting, negotiating, and executing contracts preferably in a company with late-stage clinical or commercial products
  • Strong experience in contract negotiation; ability to understand and analyze legal contractual terms, accurately identify and assess the risks in a business arrangement, make decisions with respect to contract provisions that are aligned with the company's risk tolerance and contracting standards, and offer a practical, business-minded approach to contract negotiation
  • Demonstrated strong written and verbal communication skills
  • Personable collaborator who can work successfully and build relationships with internal stakeholders and external parties to achieve business goals while managing risk
  • Flexible and adaptable to shifting deadlines and priorities; able to effectively prioritize and manage a large volume of contracts and other assignments
  • Strong organizational and administrative skills with developed organizational capabilities
  • Strong commitment to ethical standards
  • Proficient with Microsoft Office suite (i.e., Word, PowerPoint, Excel, Outlook, SharePoint, etc.)
  • Proficient in the use of a contract lifecycle management (CLM) system
  • The salary range for this position is commensurate with experience
