Description:

General Summary:
The Associate Counsel assists the General Counsel in all legal matters impacting the Company and provides direct legal advice to the Company's Senior Management Team, Department Managers and other Company personnel regarding the Company's business and legal matters. This person will also assist the General Counsel in the development, implementation and maintenance of internal systems and policies that promote proficient and efficient legal services to the Company.

Essential Job Functions:
  • Assist the General Counsel in providing legal, business and practical advice and counsel to the Company's Senior Management Team, Department Managers and other Company personnel regarding business strategies, corporate and commercial agreements, real estate transactions, regulatory compliance, and employment practices and policies.
  • Assist the General Counsel in assessing and minimizing legal risks associated with Company activities, policies and practices by consulting with Company personnel to determine overall best course of action for the Company, including, but not limited to, internal legal training.
  • Review, prepare and assist in the negotiation of the Company's commercial and corporate transactions, including, but not limited to, customer business aircraft maintenance agreements, aircraft sales transactions, vendor supply agreements, dealer agreements and service center arrangements.
  • Develop, implement and maintain standard legal templates and forms for the Company.
  • Assist the Company's Compliance Officer in the maintenance and implementation of policies, practices and training for all regulatory compliance programs, including the Foreign Corrupt Practices Act (FCPA) and all other applicable domestic and foreign anti-corruption laws.
  • Assist the General Counsel with the coordination of the Company's response to legal claims and disputes and assist in the management of external counsel retained to represent the Company in legal matters.

Education and Experience:
  • J.D. (or equivalent) from accredited law school
  • Minimum 1 year of experience in private or corporate general practice with emphasis on commercial, corporate, and transactional law.
  • Outstanding academic credentials and demonstrated ability to work effectively with the Company's General Counsel, Senior Management Team, Department Managers and all other Company personnel.
