Description:

The Associate Counsel will report directly to the General Counsel and will be involved in real estate matters at all stages and throughout the country. The Associate Counsel will participate in leading and counseling the Company through real estate transactions and will assist in overseeing the selection and management of outside counsel.

Specific Duties and Responsibilities:
  • Drafts, negotiates, reviews and revises purchase and sale agreements, financing documents, operating agreements, closing documents, and other documents.
  • Manages transaction logistics in conjunction with the General Counsel, Chief Financial Officer and any applicable outside counsel.
  • Coordinates and reviews due diligence including title, survey, zoning and entitlements for acquisitions.
  • Works with development team executives to implement best practices and processing of projects.
  • Handles day-to-day legal matters for each division of the Company.
  • Negotiates, reviews and revises loan documents.
  • Monitor and manage corporate compliance for company and all its affiliated entities.
  • Advise on organizational aspects of the company's financing including ownership structures and legal entities.
  • Advises company concerning legal impact and implications of all functions, transactions and business.
  • Assists with general legal compliance at all levels of the company.

Prerequisites:
  • JD from an accredited law school.
  • 3 - 5 years of real estate, construction, corporate or other transactional legal experience.
  • Manage multiple simultaneous projects.
  • Ability to operate independently, report in written and verbal format.
  • Advanced computer skills, including MS Office, project management tracking and scheduling software.
