Allied Universal® is hiring a Associate Counsel. The Associate Counsel is responsible for supporting the Legal Services Group and the Allied Universal Technology Services line of business. This team member will work out of the organization's eastern corporate headquarters in Conshohocken, PA and will report to the Vice President – Associate General Counsel.
Responsibilities:
- Use independent judgment and discretion in drafting, reviewing, interpreting, and negotiating a variety of contracts and transaction documents, including customer contracts, Requests for Proposal, SaaS, Reseller, Non-Disclosure, General, Subcontractor, and Vendor agreements
- Serve as primary negotiator with customers, vendors, subcontractors, and opposing counsel, balancing risk with business objectives
- Establish and maintain contract templates, playbooks, protocols, and processes that enhance efficiency, consistency, and scalability associated with executing commercial transactions
- Advise senior leadership with clear, strategic legal guidance, including executive summaries of high-impact negotiations, to facilitate awareness and approval of non-standard contract terms
- Shape and strengthen internal policies, procedures, and training programs to promote compliance and operational excellence
- Anticipate and mitigate regulatory and compliance risks, implementing proactive strategies to safeguard the business
- Partner with cross-functional teams and executives to align legal strategy with key initiatives and long-term goals
- Assist with resolution of customer, contractor, subcontractor, and vendor disputes, including claims for delay, defects, and payment disputes, ensuring outcomes that support both compliance and business priorities
- Support compliance with federal, state, and local construction laws and regulations, including licensing, lien law, and safety codes
- Collaborate with procurement and vendor management teams on sourcing and contract compliance
- Conduct legal due diligence and risk assessments for mergers and acquisitions, draft and review transaction documents, and support post-merger integration while maintaining and updating legal templates, resources, and governance protocols
- Perform other transactional, legal, and regulatory duties as needed
Qualifications:
- Law degree from an accredited law school and admission to the bar in any jurisdiction
- Minimum of three (3) years of legal experience, including contract negotiation, corporate law, and regulatory compliance
- Excellent written and verbal communication skills to interact with company management, regulatory bodies, customers, and other stakeholders about laws, regulations, rulings, contract terms, and interpretive guidance
- Strong ability to provide risk assessment and mitigation support
- Solid understanding of the general liability insurance process including claim handling and indemnification obligations
- Ability to successfully interact at all levels of the organization, including with internal clients, external counsel, and government agency officials, while functioning as a team player
- Familiarity with project insurance, bonding and risk management practices
- Experience working in Outlook, Excel, Word, SharePoint, OneDrive platforms
- Able to work in a fast-paced and deadline-driven environment
- Demonstrated ability to take initiative, successfully handle and prioritize multiple competing assignments and effectively manage deadlines
- Occasional travel to attend meetings, deliver training, etc.
- Strong organizational and analytical skills, including attention to detail, and a self-driven, problem-solving mindset
- Experience working in or advising service-based industries, such as physical security solutions, security system licensing and implementation services, and commercial construction, is a plus
- Ability to drive deliverables and influence both internal and external stakeholders in a team setting
Preferred Qualifications:
- Previous experience conducting audits or investigations
- Previous experience creating or managing contracting processes and workflows
- Project management and Smartsheet experience
- Legal experience in construction law with exposure to security systems, low-voltage systems, or other technical/engineering construction fields is a plus
