Job Summary:
Sea Box, Inc. is looking to fill an associate counsel position in its growing corporate legal department. This position will report to the Director of Contracts and will be responsible for researching and advising senior management on various legal issues and the review and drafting of documents including, terms and conditions for new customer orders, non-disclosure agreements (“NDA’s”), leases and other company contracts and agreements. The ideal candidate should have familiarity with manufacturing and administrative management, GAAP financial reporting, audit procedures and staff training and development. Must be capable of promoting teamwork, cultural development, have superior communication skills and be able to multitask and prioritize multiple projects in order to ensure deadlines are met.

  • Accident prevention – actively identify, correct and/or report safety hazards to prevent accidents.
  • Actively identify and pursue cost reduction and efficiency/profit improvement opportunities.
  • Support the ISO 9001 Quality Management System and the Sea Box Quality Policy calling for self-inspection of your work product.
  • Review customer terms and conditions during the quoting process to evaluate compliance requirements, resources needed to execute the contract and costs involved.
  • Review and prepare correspondence and legal documents including sales contracts, terms and conditions, NDAs and settlement agreements.
  • Conduct legal research related to commercial and government contracts.
  • Interact with and provide legal guidance to the CEO, President, COO, CFO and sales executives in regard to commercial and government solicitations and customer purchase order terms and conditions.
  • Maintain current knowledge of organizational policies and procedures, federal and state policies and directives.
  • Ensure compliance with the company’s Corporate Ethics policy.
  • Assist with management of external audits.
  • Interact with and manage outside legal counsel as required.
  • Review customer terms and conditions to manage and minimize the company’s liability risks and exposures.
  • Other duties as may be assigned.

Requirements and Qualifications:
  • Degree from an accredited law school.
  • Member of the New Jersey Bar or a member of another state’s Bar with the ability to apply for reciprocity to practice in New Jersey.
  • 3-5 years of combined commercial and/or government contract experience.
  • Knowledge of commercial contracts.
  • Excellent written and verbal communication skills.
  • Analytical skills.
  • Attention to detail.
  • Experience with and/or knowledge of FAR, DFARS and related government regulations preferred but not required.
