The Associate Counsel serves as a crucial resource for both the business lines and other service providers within the organization. This attorney will need to have general experience and a strong drive to learn. The role requires a strong ability to independently learn, research, and opine on a wide variety of matters, and the ability to provide advice that addresses business needs while ensuring regulatory compliance.

Job Responsibilities:
  • Support day-to-day legal needs of the organization.
  • Research and advise on federal and state laws affecting the operation of the Bank, including, but not limited to: federal and state banking law, lending and secured transactions, creditors' rights/loan workout, consumer compliance regulations, bank deposit account issues, vendor contracts, Uniform Commercial Code, employment law, real estate law, trusts and estates, and litigation.
  • Support the Corporate Secretary Function by drafting board resolutions, taking minutes, etc.
  • Provide corporate governance support.
  • Assist with corporate policy and procedure drafting, support and administration.
  • Facilitate positive and effective partnerships across all business lines and help educate business partners on the Legal Department's role throughout the organization.
  • Other duties as assigned.

Minimum Requirements:
  • Juris Doctorate from an accredited law school required.
  • Must be licensed in Delaware, Pennsylvania and/or New Jersey.
  • Three (3) to Six (6) years of legal experience required (not including clerkships).
  • Experience in financial services industry preferred.
  • Must have a strong research, writing, and analytical skills with exceptional attention to detail.
  • Must have the ability to multitask and meet deadlines.
  • Must have excellent communication and interpersonal skills, with the ability to explain complex legal issues to non-lawyers.
  • Must have a strong computer skills specifically with Microsoft products, Adobe Professional, and ability to learn and navigate new systems with ease.
  • Must have a strong analytical and organizational skills with a proven ability to handle multiple tasks and prioritize work in a deadline-intensive environment.
  • Must have excellent communication abilities with individuals at all levels.
  • Must have strong interpersonal and teamwork skills and ability to influence through collaboration.
  • Must uphold and value a high sense of honesty, integrity, and confidentiality.
