The Counsel, M&A and Transactions position works closely with the Corporate Development, Strategy, and Strategic Capital teams on M&A, inorganic investment and emerging growth company opportunities, advising on issues related to the M&A and emerging growth investment pipeline, due diligence activities, deal structuring and contract negotiations.

Position Summary:
The Counsel, M&A and Transactions position will provide legal guidance and support on a diverse range of M&A and inorganic investments, including emerging growth company and other minority investments, acquisitions, divestitures, strategic partnerships and joint ventures.

Key Responsibilities:
  • Collaborate with the M&A Legal, Corporate Development & Strategy, Strategic Capital and External Innovations teams and senior and functional leaders of our groups and divisions on M&A and strategic investment opportunities.
  • Work on a variety of transactions (including mergers, minority investments, fund investments and joint ventures) in all stages, from initial presentations and deal structuring to transaction closings and integration. Help draft and negotiate documentation including term sheets, bid letters, purchase agreements, investment agreements and non-disclosure agreements.
  • Partner with Corporate Development and our functional specialists (e.g. Finance, Tax, IP, R&D, HR, Regulatory, EH&S, Risk, Competition) and other Company advisors (e.g. outside legal counsel, audit firms and investment banks), to orchestrate due diligence activities, enable regulatory filings, prepare for closing and integrations; advise on deal-related issues.
  • Advise Strategic Capital and our functional specialists on deal related issues, including related to emerging growth investment, including venture capital investments, portfolio management, and technology and collaboration agreements. Coordinate with commercial counsel on strategic alliance and commercial arrangements entered into in connection with investment transactions.
  • Support practice management activities, including selection and management of outside counsel, maintenance of “best practices” and guidelines for worldwide M&A and inorganic investment activities. Drive an environment of continuous process improvement, including initiatives to enhance efficiency, quality and productivity.

Experience and Skills:
  • JD from an accredited law school and a member in good standing with the bar. Licensed to practice law in the U.S.
  • 4+ years target legal experience
  • Experience working on M&A transactions; venture capital transactions and fund investments is desired
  • Global life science, health care or highly regulated technology company experience is desired, but not mandatory
  • Ability to work well with Corporate Development, Strategic Capital and other functions to achieve the M&A and inorganic strategy goals of the Company
  • Excellent work ethic, strong negotiation and influencing skills
  • A solution-oriented mindset and a desire to make the company's M&A and Strategic Capital practice better by developing processes to help guide large teams engaged in complex and exciting work
  • Exceptional oral and written communication skills
  • Strong sense of ethics and integrity
  • Travel is estimated at 10 – 20%
