Role Description:
This is a full-time hybrid role for a Corporate Attorney at Seck & Associates LLC. The Corporate Attorney will be responsible for providing legal advice, conducting research, working on licensing of technology with clients, negotiating business transactions, working in capital raises, and other corporate matters.

Responsibilities:
  • Assist with the formation and structure of entities including drafting operating agreements, bylaws, and other governance documents.
  • Conduct legal research and provide practical advice on business, corporate finance, and M&A matters.
  • Support the preparation of client presentations and legal recommendations.
  • Participate in client meetings and conference calls to discuss strategies and solutions.
  • Draft, review and revise contracts, purchase agreements, NDAs, and other legal documents.
  • Assist with due diligence efforts for mergers, acquisitions and other corporate transactions.
  • Prepare closing documents and coordinate closings for business deals.
  • Review compliance documents, business filings, and corporate records.
  • Keep files organized to make sure the most recent updates are accessible to other attorneys, paralegals, and staff.
  • Collaborate with clients and senior associates and other staff to move cases toward resolution efficiently.

Qualifications:
  • At least 3 years of relevant experience
  • Solid communication skills and problem-solving skills to work with clients, staff members and senior attorneys
  • Juris Doctor (J.D.) degree from an accredited law school
  • Admission to the state bar in Missouri or Kansas
  • Prepared to learn from senior attorneys to meet our client needs and grow our client base
