Position Summary:The Arellano Law Firm provides skilled legal representation across multiple practice areas, including business law, civil litigation, real estate, immigration, personal injury, and estate planning with offices in Salem, Portland and Hillsboro.
The general business transactions attorney directly reports to the Firm Principal and Chief HR. The general business transactions attorney regularly works on complex business and estate planning matters where analysis of situations or data requires an in-depth evaluation of variable factors that affect the firm's range of client needs including business contracts, mergers and acquisitions, entity formation, estate planning, wills and trusts, and related transactional matters. Exercises judgment and considerable independence in selecting methods, techniques and evaluation criteria for obtaining productive workflow results. The general business transactions attorney will draft and negotiate business agreements, conduct due diligence, coordinate transaction closings, prepare estate planning documents including wills and trusts, counsel clients on business and estate planning strategies, and provide comprehensive legal support for business formation and succession planning. The general business transactions attorney will support the firm and the firm principal in any assigned transactional matters with high quality legal research, writing, document preparation and client representation.
This role combines transactional strategy, excellent case management, client counseling, legal research/writing and administrative oversight to ensure productive outcomes and client satisfaction are in alignment with the goals and vision of the Arellano law firm. The general business transactions attorney strategizes and implements Arellano law firm collective impact methodology to achieve efficiency and client service through collaboration and strategic communication with support staff and skillful usage of ALF data platforms such as MyCase and LexisNexis.
Primary Responsibilities:
Business Transactions & Contract Management (70%)
- Handle business transactions from initial consultation through closing including contract drafting and negotiation, entity formation, mergers and acquisitions, commercial real estate transactions, and business succession planning
- Conduct client consultations to assess business needs and establish attorney-client relationships for transactional matters
- Draft, review, and negotiate various business agreements including purchase agreements, service contracts, employment agreements, non-disclosure agreements, partnership agreements, and operating agreements
- Perform due diligence reviews including contract analysis, corporate record examination, and risk assessment for business transactions
- Coordinate transaction closings including document preparation, signature coordination, and post-closing deliverables
- Provide ongoing contract lifecycle management and compliance counseling to business clients
Estate Planning & Trust Services (20%)
- Conduct comprehensive estate planning consultations to assess client goals, family dynamics, and tax planning objectives
- Draft estate planning documents including wills, revocable and irrevocable trusts, powers of attorney, advance directives, and beneficiary designations
- Coordinate document execution ceremonies and ensure proper witnessing and notarization requirements are met
- Provide trust funding guidance and coordinate asset transfers to newly created trusts
- Counsel clients on estate and gift tax implications and coordinate with tax professionals and financial advisors as appropriate
- Prepare post-signing deliverables and provide ongoing trust administration guidance
Client Communication & Relationship Management (5%)
- Maintain regular communication with clients regarding transaction status, strategy, and developments.
- Explain legal processes and options in clear, accessible language.
- Manage client expectations while providing professional guidance during complex business and estate planning matters.
- Build long-term relationships that generate referrals and repeat business.
Administrative & Business Development (5%)
- Record billable time to individual matters with accuracy and consistency.
- Collaborate with support staff to ensure efficient matter processing, follow-up and file management.
- Participate in business development activities as assigned by Partner and Chief HR including networking events, community presentations, and marketing initiatives.
- Stay current on business law, tax law, and estate planning developments through continuing legal education.
Required Qualifications:
Education & Licensure
- Juris Doctor (JD) from an ABA-accredited law school.
- Active member in good standing of the Oregon State Bar.
- Must maintain Oregon Bar standing through required continuing legal education credits.
Experience:
- Minimum 2-3 years of business transactions and/or estate planning experience preferred.
- Proven track record of successful transaction closings and estate planning implementations.
- Experience with contract drafting, negotiation, and business counseling.
Knowledge & Skills:
- Expert knowledge of business law, contract law, entity formation, and estate planning principles.
- Strong negotiation and drafting skills for business agreements and estate planning documents.
- Excellent written and verbal communication skills.
- Superior legal research and writing abilities using LexisNexis or similar platforms.
- Proven analytical and problem-solving capabilities.
- Ability to work autonomously while contributing to a team environment.
- Proficiency with case management software (MyCase experience a plus).
- Strong organizational skills with attention to detail and ability to manage multiple deadlines.
- Professional client service orientation with ability to work with diverse client populations.

- Occasional evening or weekend work may be required to meet client needs and transaction deadlines.
- May require travel between firm offices and client locations for meetings and document executions
