Associate Attorney, Winston & Strawn LLP, New York, NY. Conduct legal research and analysis for cross border corporate projects. Review, draft, and negotiate documents related to corporate transactions. Must have Bachelor's in Economics or Finance and a J.D. or LL.M., and 2 years of experience as a finance Associate in an international law firm working on each of the following: (i) representing lenders, including private equity funds, public and private corporations, lead arrangers, banks and other financial institutions on domestic and international project finance deals; (ii) drafting and analyzing credit agreements, security agreements, and ancillary documents for project finance transactions; (iii) reviewing and issue spotting key project documents for renewable energy, involving wind and solar power or storage, project finance deals; (iv) working on domestic and cross border financing transactions including construction financing, term loan finance, and back-leverage finances; (v) negotiating and preparing commitment letters, term sheets, credit agreements, intercreditor agreements, security agreements, control agreements, legal opinions and other ancillary documents; and (vi) managing the deal flow and the closing process, working directly with the client, the borrower, and borrower's counsel for project finance transactions. Experience may be gained concurrently. Must also be admitted to the New York Bar. Pay Range: $365,000 to $390,000 per year.Search firm submissions will not be accepted.
