We are currently looking for an associate-level Attorney to provide legal advice on corporate, securities and M&A matters in our New York, NY or Minneapolis, MN office. In this role, the attorney would be an Associate General Counsel for Investment Banking and Capital Markets.
Responsibilities:
- Working with other firm attorneys to provide legal support to the firm's investment banking and capital markets businesses
- Drafting, reviewing and negotiating engagement letters, non-disclosure agreements and transaction documents
- Participating in firm committees, such as commitment committee, M&A committee and opinion committee
- Monitoring relevant regulatory and legislative changes and requirements
- Working with internal clients on special projects as requested
- Managing outside counsel and outside legal expenses
- Assisting with third-party matters and ancillary litigation matters
Requirements:
- Candidates must be self-motivated, detail-oriented problem-solvers with high work standards, excellent organizational, interpersonal, and oral and written communication skills; and a high-level of discretion, maturity and ethical integrity.
- Candidates should have relevant experience working on both securities and M&A transactions.
- Candidates must be able to work well both with a team and independently under limited supervision, and must be able to prioritize, meet deadlines, and be flexible to adapt to changing organizational needs.
- Candidates must be willing to work overtime as workload requires.
- Large law firm or investment bank experience strongly preferred.
- Two to four years of experience is generally preferred.
- Must be licensed in New York or Minnesota, as applicable.
