About the role:As an Assistant General Counsel - Strategic Transactions (M&A) you will provide strategic legal support and advice on all corporate acquisitions and strategic financial transactions. You will report to the Principal Deputy General Counsel - IP, Corp Governance, AI & Innovation and be located at our Cranberry Township, PA location. Hybrid Work Schedule.
Key Responsibilities:
- Lead multi-billion-dollar finance transactions by advising the executive leadership team, board members and other company stakeholders on strategy and risk, ensuring that the transaction aligns with the strategic goals of the company and overseeing the implementation of acceptable contractual terms through direct negotiation and management of outside counsel.
- Serve as a strategic partner (and key legal counsel) to the Corporate Development and Strategy group providing proactive advice and counsel for strategic planning, analysis of opportunities and implementation of activities relating to cross-border strategic transactions (mergers, acquisitions, asset and stock deals).Lead complex transactions end-to-end, including structuring, negotiation, drafting, due diligence, closing and integration.
- Advise/manage Westinghouse and its affiliates on matters relating to finance, treasury, corporate policies and procedures, limits of authority, corporate formalities and other corporate duties and responsibilities.
- Advise/manage Westinghouse and its affiliates on corporate issues, risk management and matters of corporate governance, including entity structure, corporate transactions, boards, fiduciary duties, securities laws, disclosure obligations and required filings.
- Draft and negotiate finance/credit/loan agreements, sales agreements, ancillary transactions documents and closing deliverables.Conduct and manage due diligence.
- Provide support for transaction structuring and oversee legal entity formation, reorganization, and dissolution activities across multiple business units.
Qualifications:
- Juris Doctor with academic credentials from an accredited law school
- 6+ years of strategic transactions experience
- Licensed attorney in at least one state
- Knowledge of substantive areas of law related to strategic transactions
- Experience with the deal process, including diligence, documentation and closing
- Public company and securities experience preferred
We are committed to transparency and equity in all of our people practices. The base salary range for this position, which is dependent upon experience, qualifications and skills, is estimated to be $162,000 to $202,500 per year. In addition to the base pay, this role may be eligible for incentive pay based on company and individual performance
