Job Description:U.S. Bank is seeking an experienced attorney with a strong background in SBA and real estate secured lending transactions to join the commercial lending legal team. This attorney will support SBA and business banking in the Consumer and Business Banking business line, as well as commercial lending and SBA operations, risk functions, and internal commercial loan documentation. The attorney will work strategically with senior leadership at U.S. Bank, as well as federal regulators and outside counsel. Preferred candidates will be experienced in SBA guaranteed loans, SBA-related loan products, and servicing SBA loans, as well as other complex commercial lending products. The successful candidate will join a dynamic, diverse, and collaborative team of legal professionals supporting all of U.S. Bank's commercial lending activities.

Key Responsibilities:
- Serve as key legal advisor to SBA guaranteed lending group on loan transactions, documentation, SBA requirements, changes to SBA standard operating procedures, and business line procedures and goals.
- Provide legal advice to commercial lending business lines on commercial loan transactions, including complex real estate and title issues, UCC reviews, and legal documentation.
- Draft and review loan documents for use in internal documentation systems and draft, review, and negotiate commercial loan documents and other legal documents on behalf of U.S. Bank.
- Advise business units, risk groups, operations teams, and senior leadership regarding federal regulatory issues, changing legal landscape, and solutions to legal challenges.
- Solve legal challenges in an efficient manner, including problem solving on specific transactions, revising internal procedures, and advising on changes to legal requirements on SBA and commercial lending.
- Manage and oversee outside counsel on commercial lending, SBA lending issues, and dispute resolution.
- Stay abreast of relevant market, legal and regulatory developments and work closely with business lines and support partners to ensure continuous compliance with laws, regulations, and policies.
- Train business units regarding SBA lending, real estate issues, UCC issues, and other legal challenges in commercial lending.
- Become familiar with and provide guidance on relevant U.S. Bank policies and procedures, particularly as related to SBA guaranteed lending.
Basic Qualifications:
Licensed by and in good standing with the appropriate state bar association or other appropriate state attorney licensing authority
Preferred Skills/Experience:
- A minimum of 10 years' experience practicing law, including both: 1. Law firm experience leading commercial loan transactions and 2. In-house experience at a regulated financial institution.
- Strong and demonstrated knowledge of SBA-guaranteed lending and SBA Standard Operating Procedure.
- Significant experience with real estate secured commercial lending transactions, including loan document drafting, negotiating, title reviews, and problem solving, as well as strong experience with the Uniform Commercial Code.
- Strong drafting, negotiating, issue-spotting and risk identification skills.
- Exceptional written and verbal communication skills with both legal and business audiences.
- Demonstrated ability to work both independently and collaboratively and to set priorities and exercise judgment in a fast-paced and dynamic environment.
- Ability to collaborate confidently and effectively with a diverse range of stakeholders, including senior leaders.
- Demonstrated ability to develop trusting relationships with internal clients, outside counsel, and other internal stakeholders such as credit, operations, and risk functions.
- Experience with healthcare, agricultural, and franchise lending.
- Familiarity with banking regulations, such as Regulation B.
- Familiarity with dispute resolution in commercial lending and real estate transactions, including eminent domain and mechanics' liens.
- Experience with process improvements and incorporation of technology solutions into legacy legal processes.
Location expectations
This role requires working from a U.S. Bank location three (3) or more days per week.
