The North America Assistant General Counsel will focus on drafting and negotiating a high volume of technology contracts in a fast-paced, high-demand environment, across our three verticals of insurance, commercial, and government (“BUs”) in support of the BU sales, customer success, and marketing teams. The person in this role will work closely with BU leaders to help them achieve their quarterly revenue target and forecasted sales growth.

A typical day for you make look like this...
  • Working as a key business partner to support, negotiate with customers' legal counsel, review and draft outbound SaaS and licensing agreements , distribution and related support/reseller/partner agreements for sales operations, and other contracts
  • Working with the Global Legal Team on high value or strategic partnership deals
  • Advising on legal and compliance risks associated with contracts
  • Supporting the BUs with customer support requests and legal issues
  • Providing training to the BU sales teams in understanding the legal position and risk exposure in sales contracts
  • Representing company's interests and interfacing directly with client counsel and negotiating teams
  • Providing training to relevant departments and rolling out compliance initiatives across the company
  •  Staying abreast of legal developments affecting the company, its customers, and industries and synthesize the information to incorporate it into company's transactional practices
  • Assisting in overseeing and improving internal guidelines, toolkits, and packaged knowledge on various legal and business issues

What we are looking for:
  • For this particular role we are seeking people with the following experience:
  • Juris Doctor (J.D.) from an ABA-accredited university with a strong academic record
  • Qualified to practice law in state(s) of admission and in good standing with the relevant state bar(s)
  • 8+ years post J.D. experience, preferably both in law firms and as an in-house counsel in a global technology company or an IT/software company would be ideal
  • A good understanding of cross-jurisdictional issues that may arise when negotiating global agreements with multinational companies
  • Experience drafting and negotiating a broad variety of commercial contracts including SaaS subscription agreements (vendor side)
  • Experience in managing IP issues and IP portfolio (preferred)
  • Knowledge of intellectual property issues as they apply to a GIS SaaS provider and GIS knowledge would be an added advantage
  • Helpful would be familiarity with Jira (the legal ticket system for legal projects across the entire contract life cycle), Dropbox, and Salesforce.
  • Ability to work autonomously with independent thinking but know when to escalate matters/issues
  • Able to manage multiple assignments and projects, while meeting established deadlines and requirements
  • Ability to provide commercially focused legal advice that is translated into simple to understand language
  • High level of attention to detail with solid written and communication skills
  • Establishes positive working relationships with colleagues and peers
  • Flexible approach, willing to accommodate working outside of core hours when required to support the global business and the legal teams at head office
