Summary:The position entails review, analysis and counseling on a variety of corporate real estate and commercial contracting legal matters, working closely with NJ TRANSIT staff and management.
Roles & Responsibilities:
- The position entails review, analysis and drafting of contracts, and counseling on a variety of corporate real estate and commercial contracting legal matters, working closely with NJ Transit staff and management to move forward initiatives for NJ Transit's economic development, sustainability, and infrastructure improvement as well as its bus and rail transportation operations.
- Provide important and timely legal advice related to operational needs and efficiencies.
- Negotiate, draft, review and provide advice to various business and operating units within NJ Transit on real estate and commercial contracts, related to, among other things, acquisitions and dispositions of property, transit-oriented development matters, leasing, licensing financing and procurements.
- Review and analyze real estate and capital procurements: Requests for Proposals (RFPs), Invitations for Bids (IFBs), Requests for Qualifications (RFQs) and Requests for Expressions of Interest (REFIs), for competitively bid contracts.
- Review, draft and negotiate agreements with private counterparties and other local, State, and federal agencies, related to real estate and construction matters, including State and Federal funding requirements.
- Board Matters – interpret NJ Transit's By-laws when required, review and draft Board materials, provide legal advice to the Board Office at monthly Board and Committee meetings.
- Capital Programs & Planning – Develop strategies, negotiate, draft, and edit agreements with third parties for complex transactions required to implement large capital projects. Provide liaison with the Capital Programs group, subject matter experts, contracts, etc.
- Periodically review and revise NJ Transit's template real estate and other corporate contracts and other documents, and policies and procedures related to the same.
- Review and counsel on environmental and insurance issues related to contracts.
- Serve as internal point of contact with outside counsel and review invoices associated with the matters.
- This position supports paralegal and support staff.
- Juris Doctor (JD) and 5+ years' commercial real estate and contracting.
- New Jersey Law License required.
Knowledge & Skills:
- A blend of general corporate law, in-house, large law firm and/or public sector real estate experience preferred.
- Excellent inter-personal communications, research and writing skills, business acumen, excellent judgment and analytical skills, high degree of professional ethics, integrity and executive presence.
- Experience in the transportation/transit industry a plus.
- Experience in in the operation of government and private industry preferred.
- Experience operating in regulated industry a plus.
