Position Summary:
The Assistant General Counsel partners with the firm's General Counsel to manage the organization's legal needs by overseeing contracts and other legal-related processes, providing strategic legal advice to business stakeholders, and helping shape the strategic operations of the legal department.

The firm has one available position in either San Francisco, CA, Walnut Creek, CA, Long Beach, CA, Bellevue, WA, Portland, OR, Austin, TX, St. Louis, MO, or Kansas City, KS.

Essential Duties & Responsibilities:
  • Assist the General Counsel in advising and representing the organization in connection with a variety of legal and contractual matters, including:
  • Manage a team to provide high quality legal counsel and support to partners and employees with respect to preparation of client engagement letters, master service agreements, responses to requests for proposals, subcontractor agreements, Kovel agreements, non-disclosure agreements, conflict waivers and other vendor and client-related agreements, as well as the legal team's maintenance of contract and case management files.
  • Provide independent, strategic legal advice to business stakeholders in connection with day-to-day legal matters, including potential claims, disputes, and applicable professional standards and ethics.
  • Oversight of subpoena compliance and other court-related matters, including formulation of strategy to protect the organization's interests.
  • Review leases for the organization's premises throughout the country and/or oversee related work performed by staff or outside counsel.
  • Effectively manage outside counsel's use of time and resources in any outsourced legal matters.
  • Perform other duties and responsibilities as assigned.

Knowledge, Skills, Abilities:
  • Demonstrated experience drafting, reviewing, negotiating, and advising on a variety of contracts, including negotiation of agreements with clients, vendors and other third parties is required.
  • Strong experience and ability to understand and provide insight to clients concerning nuanced issues in a variety of practice areas.
  • Ability to anticipate and identify issues and strategically weigh risks and potential legal outcomes is required.
  • Detail-oriented, with excellent organizational skills and ability to prioritize competing deadlines.
  • Excellent written and verbal communication and interpersonal skills.
  • Ability to work independently with initiative and as a team member.
  • Interest in a long-term role contributing to the strategic development of a growing legal department.
  • Willingness to work occasional nights or weekends as client needs may dictate.

Minimum Qualifications:
Juris Doctor degree with at least eight (8) years of relevant experience as a practicing attorney at a law firm or as an in-house corporate attorney required. Must be a member in good standing with the Bar of one U.S. state or territory. Meaningful litigation and trial experience or equivalent experience in a risk management capacity is required.

Preferred Qualifications:
Professional liability and/or accountants liability experience is preferred.
