About the role:
The Assistant General Counsel is responsible for providing critical legal support to the agency's business operations, focusing on minimizing legal exposure related to advertising content, commercial agreements, and regulatory compliance. This role requires an understanding of the fast-paced, creative environment of an advertising agency.

What You'll Do:
  • Contract Management and Negotiation
    • Drafting and Review: Draft, review, and negotiate routine commercial agreements, primarily:
      • Vendor and supplier contracts.
      • Talent and third-party intellectual property release agreements.
      • Non-Disclosure Agreements (NDAs).
      • Technology licenses.
    • Client Relationship Support: Assist in reviewing and interpreting Master Service Agreements with clients and drafting and reviewing scopes of work for client services.
    • Record Keeping: Maintain and organize the agency's repository of executed contracts and legal documents.
  • Advertising and Marketing Law Support
    • Content Clearance: Conduct initial legal review of a high volume of creative assets, including digital media, social campaigns, broadcast scripts, and print ads, checking for potential issues concerning copyright, trademark, defamation, and rights of publicity/privacy.
    • Regulatory Review: Ensure compliance with core regulatory bodies and statutes, primarily the Federal Trade Commission (FTC) guidelines on truth in advertising, endorsements, and testimonials.
    • Data Privacy: Ensure agency's internal practices and services offered to clients comply with all applicable data privacy laws including GDPR, CCPA/CPRA, etc. Advise on the legal implications of new advertising technologies as relates to data privacy.
  • Intellectual Property and Clearance
    • Asset Clearance: Assist with the process of clearing proposed trademarks, taglines, and creative elements through initial searches and coordination with outside counsel.
    • Licensing: Review inbound and outbound IP license agreements for music, imagery, and other third-party content used in client campaigns.
  • Corporate and Compliance
    • Assist the General Counsel with ad-hoc projects, including updates to internal company policies, training materials, and support for routine HR and employment matters.
    • Keep informed of new developments in advertising law, artificial intelligence, data privacy, and media regulation.
    • Assist the General Counsel with establishing and enforcing risk management policies.

What We're Looking For:
  • Education: Juris Doctor (J.D.) degree from an accredited law school.
  • License: Member in good standing of at least one state bar.
  • Experience: 5-10 years of legal experience, preferably within a law firm's IP/marketing practice or in an in-house role at a media, advertising, or entertainment company.

Required Skills:
  • Experience in data privacy regulation.
  • Familiarity with foundational principles of Copyright, Trademark, and Contract Law.
  • Excellent organizational skills with the ability to manage multiple projects and deadlines in a fast-paced environment.
  • Strong interpersonal skills and the ability to clearly communicate legal risks to non-legal business stakeholders
