The Opportunity:
Assistant General Counsel will report to the General Counsel. This attorney must be a self-starter capable of accepting for providing proactive legal advice and counsel in support of internal legal functions.

Primary Responsibilities:
  • Assist with a wide range of projects and activities and internal legal functions, with a focus on contracting and commercial support;
  • Provide support on domestic and international project contracts prior to tender, participating with other attorneys and contract manager to provide advice and analysis to the dredging and offshore energy business units;
  • Analyze legal issues relating to federal, state and local government contracts, as well as private contracts;
  • Provide regulatory compliance support;
  • Be familiar with and advise regarding Federal Acquisition Regulation clauses as they relate to federal contracts and business operations;
  • Assist with tender and prequalification documents;
  • Support drafting and negotiation of complex project and finance documentation;
  • Draft and negotiate contracts for services, equipment and supplies, leases, and other commercial agreements in support of dredging and business operations;
  • Identify and analyze potential legal claims and work with business stakeholders to provide risk assessments and to reduce litigation exposure;
  • Manage commercial disputes with subcontractors, vendors and suppliers;
  • Perform general contract administration duties.

Limited travel may be required.

Required Qualifications:
  • Bachelor's degree (4 year) from an accredited four-year college or university;
  • J.D. from an ABA accredited law school and Texas Bar admission;
  • 3 to 5 years of law firm or in-house legal experience, preferably in a maritime, construction or asset-intensive business;
  • Proven operator in a fast-paced, team environment and able to act as a lead as required;
  • Ability to effectively manage multiple priorities;
  • Strong analytical and negotiation skills;
  • Highest ethical standards and behavior;
  • Highly developed written and verbal communication and interpersonal skills and ability to communicate and interact effectively with cross-functional teams and business colleagues at all levels of the company;
  • Excellent business judgment, superior leadership skills and delivery-oriented attitude.

Preferred Qualifications:
Familiarity with Jones Act/general maritime law/maritime commercial contracts.
