Job Summary:
Provides legal support to the System.

Essential Functions:

  • Junior associate able to support and assist senior attorneys on general counsel work, including contracts, corporate compliance, financings, and mergers and acquisitions.
  • Drafts and reviews legal documents, including contracts, letter agreements, and other documents related to debt and equity financings.
  • Prepares and maintains capitalization tables and pro formas for financings, including facility with Excel, organizing calculations and data, and comfortable with math.
  • Conducts legal research on various topics and provide legal analysis and recommendations to clients.
  • Collaborates with attorneys and clients to develop legal strategies and solutions related to debt and equity financings.
  • Provides support for corporate transactions, including mergers and acquisitions, financings, and corporate governance matters.
  • Maintains and updates legal files and documents, including capitalization tables, share certificates and securities filings in concert with paralegal staff.
  • Performs other duties as assigned.

Supervisory/Management Responsibilities
This is a non-management job that will report to a supervisor, manager, director or executive.

Minimum Requirements:
  • Education - Juris Doctor from an accredited school of law
  • Experience - Two (2) years healthcare/legal related experience
