Summary:
We are seeking an Assistant General Counsel to be an integral part of A Power Plant Equipment Supplier's Legal Department reporting to the General Counsel. The Assistant General Counsel will provide professional legal support for A Power Plant Equipment Supplier's North American wind turbine sales and service operations. This position provides the opportunity to actively collaborate on a wide range of legal and compliance matters with A Power Plant Equipment Supplier's sales, execution, service, finance, human resources, and engineering teams. Subject matter responsibilities may vary based on the individual's qualifications and the company's needs.
Key Responsibilities:
- Provide legal advice and support to the organization on a wide range of issues, including contracts, corporate governance, employment matters, and regulatory compliance.
- Draft, review and support negotiation of a high-volume of various agreements including wind turbine supply and service agreements, logistics agreements, vendor and contractor agreements, credit support, memoranda of understanding, and nondisclosure agreements.
- Support administration, continuous development and training of ethics and compliance program and policies.
- Assist in managing litigation and disputes, working with external counsel as necessary.
- Conduct due diligence, proactively identify issues and resolutions and manage complex transaction approvals and closings.
- Keep current with evolving international trade, ethics and compliance regulations and industry best practices, providing clear guidance to internal clients to ensure compliance.
- Advise on risk management strategies.
- Support the General Counsel in developing and implementing legal policies and procedures.
- Structure and establish new domestic and foreign entities, and assist with corporate record-keeping matters.
- Provide professional legal support in other areas as directed by the General Counsel.

- Bachelors degree from an accredited college or university; Juris Doctor degree from an ABA accredited law school; licensed to practice law in the U.S.
- Minimum of five years of recent transactional legal experience in a law firm or corporate environment.
- Outstanding analytical, writing, and oral presentation skills. Able to prove prompt, clear and practical legal analysis, advice and risk-based solutions.
- Demonstrated ability to work efficiently, prioritize workflow, meet demanding deadlines, and manage multi-faceted projects in a fast-moving environment.
- Thought leadership and strategic thinking in sensitive and complex situations, and the highest ethical standards, integrity, and credibility.
- Strong work ethic, organizational skills and attention to detail.
- Able to work independently with minimum supervision while effectively keeping supervisor, team members and other relevant parties informed and engaged.
- Strong interpersonal skills with ability to interact effectively and work collaboratively.
- A quick leaner, willing to develop new subspecialties as needed or required.
Preferred Qualification:
- Demonstrated experience in drafting and negotiating a high-volume of equipment sales agreements, service agreements, nondisclosure agreements and policies and procedures.
- Competence in resolving disputes and managing external counsel.
- Background in international trade or compliance.
- Experience in the renewable energy industry. Familiarity with wind turbine supply and service agreements a plus.
