An Oil and Natural Gas, Exploration, Production & Midstream Company is actively seeking an Assistant General Counsel to work at our corporate headquarters in Charleston, West Virginia. As a key member of our team, you will collaborate with the General Counsel in the daily functions of the Legal department, where you will be empowered to become fully immersed in An Oil and Natural Gas, Exploration, Production & Midstream Company's business and culture so that you can provide proactive and practical counsel to leaders throughout the business.

Primary Job Duties & Responsibilities:
To perform this job successfully, the candidate must be able to effectively perform the following duties; other duties may be assigned.
  • Prepare, review, negotiate, and analyze a wide range of contracts, including Joint Operating Agreements, non-disclosure agreements, drilling and completion contracts, oil and gas leases, marketing agreements, and service agreements.
  • Assist in due diligence for acquisition and divestiture transactions, draft transaction documents, and provide legal support during acquisitions, and divestitures.
  • Assist the General Counsel in negotiating, reviewing, and ensuring compliance with all aspects of the Company's Credit Agreements.
  • Collaborate with and supervise external counsel on various matters, including litigation, disputes, claims, and regulatory investigations.
  • Provide legal counsel and advice on a wide variety of topics as required by the business.
  • Manage and resolve legal matters and concerns arising out of the day-to-day functions of the company with limited supervision and guidance, including work on non-routine matters requiring a broad and thorough understanding of the Company and its business environment.
  • Innovate, develop and improve department policies and procedures.
  • Other duties as assigned.

Minimum Qualifications:
  • J.D. from an accredited law school is required.
  • Admitted to practice law in one or more state bars or the District of Columbia is required.
  • A minimum of 6 years practicing corporate or commercial law in a law firm or in-house setting is required; in-house experience in oil and gas or energy is preferred.
  • Proficiency with Microsoft Office (Excel, Outlook, Teams, etc.) is required.
  • Travel within the United States is required.
