Job Purpose:e2Companies is seeking a high-caliber Assistant General Counsel to directly support our General Counsel. This role works under the direction of and in close partnership with General Counsel as well as C-Suite, with focused responsibility across corporate governance, commercial transactions, financing support, and enterprise risk management.
This is a high-trust, execution-focused role suited for a dynamic, entrepreneurial attorney with big law credentials and strong transactional and drafting experience who thrives in a fast-paced, growth-stage environment and brings a collaborative, “get-it-done” mindset to every matter. Candidates should expect to bring intellectual rigor and practical judgment to complex legal matters, weigh competing priorities to navigate complex cost-benefit tradeoffs, and understand that peak business cycles may require availability beyond standard hours.

Here's What You Get
- Support financing transactions including private placements, debt instruments, equity raises, and bond issuances in collaboration with the General Counsel, internal stakeholders, and outside counsel
- Coordinate with finance, tax, and external advisors to ensure transactions align with corporate strategy and risk tolerance
- Provide legal support for capital markets activities including debt offerings, bond issuances, and other structured financing transactions
- Support the structuring, negotiation, and documentation of project finance transactions for energy and infrastructure assets, including non-recourse and limited-recourse facilities, construction and term financing, and related security and intercreditor arrangements
- Provide legal support for the development and financing of energy projects such as gas-fired generation, grid-connected microgrids, and data-center power delivery, coordinating EPC and offtake with internal stakeholders and outside counsel
- Assist in mergers, acquisitions, divestitures, and strategic investments including due diligence, transaction structuring, and post-transaction integration
- Assist with compliance requirements applicable to securities laws, private placement regulations, disclosure obligations, and ongoing investor reporting
- Support corporate governance matters including board preparation, entity management, subsidiary oversight, and corporate record maintenance
- Draft, review, and assist in negotiating commercial agreements including customer contracts, strategic partnerships, joint ventures, and vendor arrangements
- Provide legal support for energy-related commercial structures such as PPAs, ESAs, and long-term service agreements from a business risk and transactional perspective
- Assist the General Counsel in advising internal stakeholders on legal considerations related to business scaling, new market entry, and operational expansion
- Manage and supervise outside counsel efficiently and cost-effectively under the direction of the General Counsel
- Develop scalable legal processes, templates, and playbooks to support rapid growth
- Translate legal considerations into practical business guidance for non-legal stakeholders across Finance, Operations, Sales, and Engineering
- Support employment law matters and HR-related legal issues as needed
- Maintain strict confidentiality of sensitive corporate and transactional information
- Other duties as assigned
- Support enterprise legal risk management and compliance frameworks across U.S. operations covering governance, contracting, and financing activities
- Monitor regulatory requirements applicable to infrastructure, energy, and long-term service businesses
- Help identify, assess, and mitigate legal, regulatory, and reputational risks associated with business scaling and strategic transactions
Basic Qualifications:
- Juris Doctor from an ABA-accredited law school
- Active bar membership in good standing in any U.S. jurisdiction; willingness to obtain authorization to practice as in-house counsel in Florida required
- Big law experience required; Am Law 50 firm background strongly preferred
- 6+ years of progressive legal experience with demonstrated focus in corporate finance, project finance, securities, M&A, or commercial transactions
- Strong business judgment with proven ability to navigate complex cost-benefit tradeoffs and align legal counsel to strategic and financial objectives
- Exceptional transactional drafting, negotiation, analytical, and problem-solving skills, with the ability to independently produce deal-ready documents
- Proven ability to manage multiple priorities in a fast-paced, evolving environment
- Self-starter who takes ownership, collaborates seamlessly across functions, and consistently drives matters to completion with minimal oversight
- Comfortable with a demanding workload that may include late nights or weekends during active deal or transaction cycles
Preferred Qualifications:
- Florida Bar membership in good standing
- Energy, utilities, infrastructure, data center, or industrial sector experience
- Experience supporting mergers and acquisitions or capital markets transactions at a growth-stage or infrastructure company
- Exposure to multi-entity corporate structures and board-level engagement
- Prior in-house experience at a growth-stage or technology-driven company
