Description:

Reporting to the EVP and General Counsel, the Assistant General Counsel is responsible for a broad range of legal services to the company, both directly and in conjunction with outside counsel. There is a significant focus on general commercial counseling, legal entity management, real estate transactions, M&A, and employment law.

This is ideally an in-office role; eligible for hybrid work arrangement if desired.

Responsibilities and Duties:
  • Provide commercial counseling and guidance to the business clients on a variety of matters including commercial contracts, distributor and agency agreements, and real estate matters (e.g., facility leases, property purchases and sales).
  • Counsel the business clients on a wide variety of employment matters.
  • Drafting, reviewing and negotiating various agreements, including commercial sales contracts, government contracts, confidentiality and non-disclosure agreements, commercial real estate agreements, license agreements and employment related agreements.
  • Manage the Company's legal entity structure, including formation or elimination of entities, internal reorganizations, and maintaining director and officer appointments.
  • Provide corporate governance advice to the organization, including preparation of resolutions, policies and procedures
  • Assist in the Company's acquisition activity, including active involvement in due diligence review and drafting and negotiating transaction documents.
  • Develop practical solutions and communicate same to the business clients, including senior management.
  • Enhance the effectiveness of the Law Department through participation in staff meetings, training, and positive interaction with corporate and business clients.
  • Develop a keen understanding of the Company's business strategy and its business system.

Qualifications:
  • JD from an accredited law school and licensed to practice in Connecticut (or willing to obtain an in-house limited license).
  • 7 to 10 years of experience as an attorney with a mix of top law firm experience and working in-house in a publicly traded corporation (preferably a manufacturing company).
  • Demonstrated ability to be a pro-active team player and partner effectively with business clients in a collaborative environment to achieve stated business objectives while minimizing risks.
  • Self-starter with a sense of urgency, ability to prioritize, handle unanticipated situations effectively and work well under pressure in a demanding multi-client environment.
  • Excellent written and oral communication skills, including the ability to convert complex legal concepts into useful business guidance.
