Job Description:HilltopHoldings is looking for an Assistant General Counsel. This position is responsible for senior level management and oversight of company legal issues providing legal advice and representation to the company on legal matters as well as managing Attorneys, Vendors, Paralegals, and administrative staff as needed. This position is also responsible for overseeing the Contract Management team. Responsibilities will primarily involve problem solving by gathering and assembling complex facts or evidence selecting and applying the proper legal and business analytical approach and reaching the proper solution. In addition, involves problem solving that requires assembling and examining available or readily obtainable facts and selecting the best solution from diverse and indistinct alternatives.
Responsibilities:
- Manage a workload and staff to ensure a cost-effective, efficient, and productive handling of company legal matters
- Provide legal and non-legal advice and representation, including policy recommendations, with respect to general corporate, real estate, or regulatory matters involving the activities of the corporation
- Formulate and test hypotheses drawn from limited evidence and speculation relative to policy, litigation and/or regulatory matters
- Identify and resolve legal and policy issues independently; selecting the best solution and actively implementing the solution
- Develop effective client relationships and market legal and business expertise
- Manage relationship with outside counsel and other vendors
- Assist in the management of the department with regard to planning, training, administration, performance standards, filing systems, and management reporting systems
- Independently manage legal matters as assigned by the senior level legal leadership
- Plan staffing levels; work with Human Resources to recruit, interview, select, hire and employ an appropriate number of employees
- Provide oversight and direction in the operating unit(s) in accordance with the organization's policies and procedures; delegate responsibilities appropriately expecting accountability
- Coach, mentor and develop staff, including overseeing new employee onboarding and providing career development planning and opportunities
- Lead employees to meet organization's expectations for productivity, quality and goal accomplishment
- Provide effective performance feedback
- Manage the overall operational, budgetary, and financial responsibilities and activities of the contract management department
- Develops, plans, implements, and ensures administration of departmental goals and budgets
- Empowers supervisors/managers to plan and allocate resources to effectively staff and accomplish the work to meet departmental productivity and quality goals
- Make strategic business decisions that are financially responsible, accountable, justifiable, and defensible in accordance with organization policies and procedures
- Review performance data to monitor and measure departmental productivity, goal achievement, and overall effectiveness
- Strategic partnering and communication with internal and external contacts (including senior leadership levels) as necessary to ensure expectations and timelines are met
- Other duties as assigned or required
Qualifications:
- Bachelor's degree and Juris Doctorate required
- Current license to practice law required, preferably from the state of Texas
- Minimum 10 years' experience as a licensed Attorney
- 5 years supervisory experience required
- Experience specific to business law and related subjects, legal administration, real estate law, securities law, litigation, contract law and employment law required
- Awareness of industry trends, competitive pressures, changing business and operational needs and external influences required
- Ability to work well under pressure and meet deadlines
- Excellent communication skills, both verbal and written
- Excellent inter-personal, conflict management skills and the ability to handle delicate situations with diplomacy and tact
- Excellent strategic thinking, business acumen, and accountability
- Ability to establish strategic technical direction, translate concepts into actionable, implementation plans and identify technologies that improve productivity
- Demonstrated excellent analytical skills and strong detail orientation
- Demonstrated judgment, and decision making ability with the ability to negotiate and influence decision making
- Excellent PC skills, including Microsoft Office Suite
- Displays excellent time management, organizational and problem-solving skills
