`Duties and Responsibilities:
  • Advise business leaders on sales strategy, product commercialization, product launches, and go-to-market execution across consumer and small business channels.
  • Lead legal structuring and negotiation of strategic partnerships, reseller, distributor, retail, marketplace, and other channel arrangements.
  • Counsel on revenue enablement models, including pricing structures, incentives, commissions, promotions, and partner compensation frameworks.
  • Draft, review, and negotiate complex commercial agreements, including distribution, reseller, referral, marketing, technology, services, and pilot agreements.
  • Identify and mitigate legal risk associated with new products, business models, channels, and customer acquisition strategies while supporting speed to market.
  • Partner with Sales, Product, Marketing, Finance, Operations, Compliance, Privacy, Information Security, and Procurement to establish clear operational launch requirements and decision points.
  • Develop scalable contracting standards, playbooks, templates, approval pathways, and legal guidance for growth initiatives.
  • Provide practical advice on advertising, pricing, competition, promotional, consumer protection, privacy, and data-use considerations affecting growth and revenue activities.
  • Oversee outside counsel and legal spend for assigned matters, as appropriate, and communicate material risks and recommendations to senior leadership.

Relevant Legal and Regulatory Expertise:

  • Commercial contracting and strategic transactions.
  • Advertising, marketing, promotions, and consumer protection.
  • Antitrust and competition law, including channel and pricing considerations.
  • Some Privacy, data use, cybersecurity, and technology transactions.
  • Product counseling, retail distribution, reseller, and marketplace models.
  • Intellectual property, brand, and content licensing issues in the retail space.

Required Qualifications:
  • Juris Doctor from an accredited law school and active membership in good standing in at least one U.S. state bar.
  • Minimum of 10 years of relevant legal experience, including substantial in-house or closely aligned commercial counseling experience.
  • Demonstrated experience leading complex commercial negotiations and advising on product launches, sales channels, strategic partnerships, and revenue models.
  • Strong business judgment, executive communication skills, and ability to translate legal risk into actionable recommendations.
  • Ability to manage multiple high-priority matters and lead cross-functional work in a fast-paced environment.
