Job Overview:
A Comprehensive Health Care in New Jersey, a mission-driven, nonprofit health system with more than $6 billion in annual revenue, is seeking an experienced and strategic Assistant General Counsel, General Contracting and Transactions Reports to support and guide the organization on a wide range of contractual and business transactions,

This attorney will play a key role in reviewing, drafting, negotiating, and advising on complex contracts across departments and service lines, with a focus on healthcare regulatory compliance, operational efficiency, and risk mitigation.

Reports to:
The Assistant General Counsel, General Contracting and Transactions Reports to SVP/Deputy General Counsel.

Qualifications:
  • Juris Doctor from an accredited law school.
  • Admission to practice law in New Jersey or ability to obtain NJ In-House Counsel license.
  • Minimum of 10-15 years of legal experience, including significant experience in a law firm and/or in-house legal department focused on general contracting and healthcare transactions.
  • Strong understanding of healthcare regulatory environment.
  • Exceptional negotiation and drafting skills; demonstrated ability to negotiate high-stakes contracts with a strong grasp of both legal risk and business priorities.
  • Excellent verbal and written communication skills and interpersonal skills, with the ability to convey complex legal concepts to non-lawyers.
  • Outstanding organizational skills and attention to detail, with a proactive and collaborative work style.
  • Excellent judgment and strategic thinking.
  • Proven ability to work independently and collaboratively in a fast-paced, mission-driven environment and to lead teams to achieve organizational objectives

Preferred Qualifications:
  • Prior experience working with or for a health system or hospital is strongly preferred,
  • Familiarity with the use of artificial intelligence and/or legal technology tools eg, contract lifecycle management systems, AI-assisted contract review platforms in legal workflows

Key Responsibilities:
  • Draft, review, and negotiate a broad range of contracts, including vendor agreements, purchase and service agreements, IT agreements, consulting and professional services agreements, pharmacy-related agreements including 340B related agreements, various clinical-related agreements, and reimbursement and finance-related agreements.
  • Provide legal guidance on business transactions, joint ventures, affiliations, strategic partnerships, and supply chain matters to ensure alignment with organizational objectives and compliance with applicable laws.
  • Advise on legal and regulatory issues affecting contract terms and transactions, including Stark Law, Anti-Kickback Statute, HIPAA, and other federal and state healthcare laws.
  • Assist in development and maintenance of standardized contract templates, policies, and best practices to improve contract lifecycle efficiency and reduce risk exposure.
  • Collaborate with operational and clinical leaders, procurement, IT, finance, and facilities teams to understand business needs and ensure appropriate legal support.
  • Provide pre-litigation contract dispute resolution support and advise on contractual rights, obligations, and risk mitigation strategies.
  • Deliver legal education and training to staff and business units on contracting principles and regulatory compliance.
  • Identify and support the integration of AI and automation technologies into legal operations and contract management procedures to improve efficiency, accuracy and compliance.
  • Supervise junior attorneys and paralegals involved in general contracting.
