Description:
Position Summary:The Securian Financial Law Department seeks an experienced corporate attorney to lead its Corporate Legal Team, comprised of lawyers and paralegals supporting the enterprise's corporate transactional, governance, and advisory needs. In this leadership role, you will serve as a senior legal advisor for Securian Financial and its affiliates throughout the U.S. and Canada, with primary responsibility for mergers and acquisitions, divestitures, strategic investments, commercial transactions, corporate governance, and related special projects. You will lead, develop, and provide practical oversight to a team of corporate lawyers and legal professionals, while partnering closely with executive leaders, Corporate Development, Finance, Tax, Compliance, business units, affiliate counsel, and outside counsel. The successful candidate will bring significant corporate M&A experience, sound judgment, strong people leadership skills, and a pragmatic approach to legal practice that advances business objectives while appropriately identifying, communicating, and mitigating legal risk.
Responsibilities include but not limited to:
- Lead and support all phases of mergers, acquisitions, divestitures, strategic investments, joint ventures, and related special projects, including transaction strategy, structuring, due diligence, term sheets and letters of intent, purchase and ancillary agreements, regulatory filings, closing deliverables, and post-closing integration or separation support.
- Serve as a trusted legal partner to executive leaders, Corporate Development, Finance, Tax, Compliance, business units, affiliate counsel, and outside counsel by providing clear, business-oriented advice on transaction risks, alternatives, approvals, and execution plans.
- Lead, coach, and develop a team of corporate lawyers and legal professionals, including setting priorities, allocating work, providing feedback, building subject-matter depth, and promoting consistent, high-quality legal support across the enterprise.
- Review, draft, and negotiate complex commercial agreements across a variety of subject matters, including procurement, technology, confidentiality, strategic partnerships, and other enterprise transactions.
- Support corporate governance matters for the enterprise and its affiliates, including drafting resolutions, advising on subsidiary governance, preparing board and committee materials, and helping maintain effective governance practices.
- Manage outside counsel efficiently and effectively, including selecting and supervising counsel, aligning scope and budget, coordinating advice across workstreams, and ensuring practical, timely deliverables.
- Perform other corporate legal functions as needed, including subsidiary oversight, legal research, regulatory reports and filings, process improvement, and support for emerging enterprise legal needs.

Qualifications:
- J.D. from an accredited law school and licensed, or eligible to become licensed, and in good standing to practice law in Minnesota or another applicable U.S. jurisdiction.
- 7+ years of relevant corporate legal experience in a law firm, in-house legal department, or comparable setting, including significant experience leading or managing complex mergers, acquisitions, divestitures, strategic investments, or other corporate transactions.
- Demonstrated ability to lead, mentor, and develop attorneys and legal professionals, including prioritizing work, exercising sound judgment, and creating a collaborative, accountable team environment.
- Strong drafting, negotiation, analytical, and problem-solving skills, with the ability to structure practical solutions for complex legal and business issues.
- Ability to identify, assess, and communicate legal and business risks clearly, including presenting recommendations to senior leaders and other key stakeholders.
- Versatility, maturity, executive presence, and ability to work both independently and through others in a collaborative environment while organizing, prioritizing, and completing multiple high-impact projects with competing deadlines.
Preferred Qualifications:
- Previous financial services, insurance, investment, or regulated-industry experience.
- Experience with corporate governance, subsidiary management, board and committee materials, and regulatory filings.
- Experience leading cross-functional transaction teams and coordinating advice across legal, finance, tax, compliance, regulatory, operational, and outside counsel workstreams.
- Experience managing outside counsel budgets, staffing, work product, and matter strategy.
- Demonstrated commitment to process improvement, knowledge management, technology adoption, and continuous learning.

$185,000.00 - $305,000.00 USD Annual
