Position Description:
This is an Assistant General Counsel position within A Largest Energy Infrastructure Companies corporate legal group, reporting to the Vice President, Deputy General Counsel and Secretary and supporting several functions within A Largest Energy Infrastructure Companies, including corporate development, commercial, and business development within the Products, CO2 and Natural Gas Pipelines business segments. The candidate must be an experienced and versatile lawyer capable of handling complex legal matters and business transactions. This is a position in A Largest Energy Infrastructure Companies headquarters office in Houston, Texas and is eligible to participate in a hybrid work model. Core responsibilities would include the following:
  • Review and negotiate parent guarantees, surety bonds and other forms of credit support for commercial transactions.
  • Provide legal support for M&A activities including reviewing confidentiality agreements and performing due diligence.
  • Provide legal support to commercial and business development team members within the Products, CO2 and Natural Gas Pipelines business segments with respect to joint ventures, development projects and commercial transactions, including preparing letters of intent, precedent agreements, gathering, processing, and transportation agreements, and product sales agreements.
  • Provide legal support to the Products Pipelines commercial team members marketing crude oil and refined products.
  • Evaluate legal and business risks and advise clients accordingly.

Position Requirements:
Education and Experience:
  • Possess a JD from an accredited law school and be licensed to practice law.
  • Must possesses 5 to 15 years of legal experience with a reputable law firm, in-house with an energy company, or a combination between the two.
  • Substantial experience with M&A transactions, joint ventures, development of infrastructure projects and commercial transactions in the midstream industry.

  • Must be nimble, responsive, and comfortable working in a fast-paced environment across a wide range of matters, including matters that call for flexibility and developing new skills.
  • The candidate must have experience and comfort working with clients at all levels of a company, including management.
  • Requires a motivated self-starter with strong skills in drafting and negotiating complex agreements.
  • Must have excellent writing, research and communications skills.
  • Must have the ability to effectively collaborate with attorneys and colleagues and balance competing work obligations for multiple clients within the organization.
